CATERING SERVICES AGREEMENT

This Catering Services Agreement (the 'Agreement') is made and entered into on this {{date}} day of {{month}}, {{year}}, by and between:

{{caterer_company_name}}, a company duly incorporated and existing under the laws of {{jurisdiction}}, with its principal place of business at {{caterer_address}} (hereinafter referred to as the 'Caterer');

AND

{{client_company_name}}, a company duly incorporated and existing under the laws of {{jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as the 'Client').

Collectively referred to as the 'Parties'.

1. SERVICES

1.1 The Caterer agrees to provide catering services to the Client for the event(s) as detailed in Schedule A (the 'Services').

1.2 The Services shall include, but not be limited to, the provision of food, beverages, serving staff, and necessary equipment, as specified in Schedule A.

1.3 The Caterer shall use its best efforts to procure ingredients and provide services of a quality consistent with industry standards.

2. EVENT DETAILS

3. PAYMENT TERMS

3.1 The total fee for the Services shall be {{total_fee}} ({{currency}}).

3.2 A non-refundable deposit of {{deposit_amount}} ({{currency}}) is due upon signing of this Agreement.

3.3 The remaining balance of {{balance_amount}} ({{currency}}) shall be due on or before {{final_payment_due_date}}.

3.4 Any additional services or changes requested by the Client after the signing of this Agreement may incur additional charges, which will be agreed upon in writing by both Parties.

3.5 Payment shall be made by {{payment_method}} to the Caterer's nominated bank account: {{bank_account_details}}.

4. CANCELLATION AND RESCHEDULING

4.1 In the event of cancellation by the Client:

- If cancelled {{number_of_days_full_refund}} days or more before the event date, {{percentage_refund}}% of the total fee will be refunded, excluding the non-refundable deposit.

- If cancelled between {{number_of_days_partial_refund_start}} and {{number_of_days_partial_refund_end}} days before the event, {{percentage_partial_refund}}% of the total fee will be refunded, excluding the non-refundable deposit.

- If cancelled less than {{number_of_days_no_refund}} days before the event, no refund will be issued.

4.2 Rescheduling is subject to the Caterer's availability and may incur a rescheduling fee of {{rescheduling_fee}}.

5. INDEMNIFICATION

5.1 The Client agrees to indemnify and hold harmless the Caterer from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including attorneys' fees and costs, but only to the extent caused by the Client’s negligence or willful misconduct.

6. CONFIDENTIALITY

6.1 Both Parties agree to keep confidential all non-public information disclosed during the course of this Agreement.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1 This Agreement shall be governed by and construed in accordance with the laws of {{jurisdiction}}.

7.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the {{arbitration_body}}.

8. ENTIRE AGREEMENT

8.1 This Agreement, including Schedule A, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
