Agreement Date

This Agreement is made and entered into on this day of {{day}} of {{month}}, {{year}}.

Services to be Provided

The Service Provider agrees to provide the following services to the Client:

Any additional services required by the Client outside the scope of this agreement will be subject to a separate written agreement and additional charges.

Term of Agreement

The Agreement may be renewed upon mutual written agreement of both parties.

Fees and Payment

Confidentiality

Indemnification

The Client agrees to indemnify and hold harmless the Service Provider from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with the Client's breach of this Agreement, or the Client's use of the services provided.

Limitation of Liability

In no event shall the Service Provider be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or goodwill, arising out of or in connection with this Agreement, regardless of the cause of action.

The total liability of the Service Provider under this Agreement shall not exceed the total fees paid by the Client to the Service Provider.

Termination

Either party may terminate this Agreement with {{notice_period}} days' written notice.

This Agreement may be terminated immediately by either party in the event of a material breach of this Agreement by the other party, if such breach is not cured within {{cure_period}} days of written notice.

Governing Law and Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by amicable negotiation between the parties.
