COMMISSION PAYMENT AGREEMENT

This Commission Payment Agreement (hereinafter referred to as 'the Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{company_name}}, a company duly incorporated under the laws of [Jurisdiction, e.g., South Africa], with its principal place of business at {{company_address}} (hereinafter referred to as 'the Company'),

AND

[Commissioned Party's Full Legal Name], an individual/entity with its primary residence/place of business at {{commissioned_party_address}} (hereinafter referred to as 'the Commissioned Party').

Collectively, the Company and the Commissioned Party shall be referred to as 'the Parties'.

1. PURPOSE OF AGREEMENT

This Agreement sets forth the terms and conditions under which the Commissioned Party shall be compensated by the Company for services rendered or sales generated as per the scope of work defined in Exhibit A attached hereto.

2. COMMISSION STRUCTURE

The Commissioned Party shall be entitled to a commission based on the following structure:

a. Percentage Rate: A commission of {{commission_percentage}}% of the net {{revenue/sales_value}} generated from {{specific_products/services/activities}}.

b. Tiered Structure (if applicable):

- {{tier_1_percentage}}% for {{revenue/sales_value}} up to {{tier_1_threshold}}.

- {{tier_2_percentage}}% for {{revenue/sales_value}} exceeding {{tier_1_threshold}} up to {{tier_2_threshold}}.

- {{tier_3_percentage}}% for {{revenue/sales_value}} exceeding {{tier_2_threshold}}.

c. Exclusions: Commission shall not be payable on {{excluded_items_or_services}}, returned goods, cancelled orders, or uncollected payments.

d. Calculation Basis: Commission shall be calculated on the {{net_revenue/gross_sales}} after deducting any {{taxes/discounts/returns}}.

3. PAYMENT TERMS

a. Payment Frequency: Commission payments shall be made {{monthly/quarterly}} on or before the {{day_of_month}} day of the month following the period in which the commission was earned.

4. TERM AND TERMINATION

a. Term: This Agreement shall commence on {{start_date}} and shall continue until terminated by either Party in accordance with the provisions of this Agreement.

b. Termination without Cause: Either Party may terminate this Agreement without cause by providing {{notice_period}} days' written notice to the other Party.

c. Termination for Cause: This Agreement may be terminated with immediate effect by either Party upon a material breach of this Agreement by the other Party, if such breach is not remedied within {{cure_period}} days of written notice specifying the breach.

d. Accrued Commissions: Upon termination, the Commissioned Party shall be entitled to commissions earned up to the effective date of termination, calculated in accordance with Section 2, and payable within {{days_post_termination}} days of the termination date.

5. CONFIDENTIALITY

The Commissioned Party agrees to maintain strict confidentiality regarding all proprietary information, business dealings, customer lists, and financial data of the Company, both during and after the term of this Agreement.

6. INDEMNIFICATION

The Commissioned Party agrees to indemnify and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to the Commissioned Party's performance under this Agreement, including but not limited to any breach of this Agreement or any negligent or willful acts or omissions.

7. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction, e.g., South Africa]. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [City, e.g., Johannesburg].
