Commission Payment Agreement
This Commission Payment Agreement ("Agreement") is made and entered into as of {{effective_date}} by and between {{company_name}}, a company duly organized and existing under the laws of [Relevant African Country, e.g., Republic of South Africa] with its principal place of business at {{company_address}} ("Company"), and {{employee_name}}, residing at {{employee_address}} ("Recipient").
1. Purpose of Agreement
This Agreement sets forth the terms and conditions under which the Recipient will be compensated through commissions for services rendered or sales generated on behalf of the Company.
The Recipient acknowledges and agrees to abide by all Company policies and procedures in the performance of their duties leading to commission eligibility.
2. Commission Structure
The Recipient shall be eligible for commission based on the following structure:
a. Sales Commission: A commission of {{commission_percentage}}% of the net revenue generated from sales directly attributable to the Recipient’s efforts, excluding any returns, refunds, or discounts.
b. Product/Service Specific Commission: For specific products or services, the commission rate may vary as outlined in Appendix A, attached hereto and incorporated by reference.
c. Referral Commission: A commission of {{referral_commission_percentage}}% for successful referrals that result in new business for the Company.
3. Calculation of Commission
Commissions will be calculated on the {{basis_of_calculation}} (e.g., net sales, gross profit) of completed and paid transactions.
A transaction is considered 'completed and paid' once the Company has received full payment from the client/customer and all services or goods have been delivered without dispute.
The Company reserves the right to adjust commission calculations for returned goods, cancelled services, or uncollectible accounts.
4. Commission Payment Schedule
Commission payments will be made on a {{payment_frequency}} basis (e.g., monthly, quarterly), on or before the {{payment_day}}th day of the month following the period in which the commission was earned.

5. Deductions and Withholding

Any advances or draw against future commissions will be deducted from subsequent commission payments.
6. Termination of Agreement
This Agreement may be terminated by either party with {{notice_period}} days' written notice.
Upon termination, the Recipient shall be entitled to commissions earned up to the effective date of termination, calculated in accordance with this Agreement, provided all related transactions are completed and paid.
No commissions will be paid for sales or services completed after the effective date of termination, regardless of when the lead was generated.

This Agreement shall be governed by and construed in accordance with the laws of [Relevant African Country].
