COMMISSION REFERRAL AGREEMENT

This Commission Referral Agreement ("Agreement") is made and entered into as of {{date_of_agreement}}

BETWEEN:

{{referring_party_company_name}}, a company duly incorporated and registered under the laws of {{country_of_incorporation}}, with its principal place of business at {{referring_party_address}} (hereinafter referred to as "the Referrer");

AND

{{receiving_party_company_name}}, a company duly incorporated and registered under the laws of {{country_of_incorporation}}, with its principal place of business at {{receiving_party_address}} (hereinafter referred to as "the Recipient").

The Referrer and the Recipient are hereinafter collectively referred to as "the Parties" and individually as "a Party".

RECITALS

WHEREAS, the Referrer has established relationships and contacts within {{industry_sector}} and wishes to refer potential clients/customers to the Recipient;

WHEREAS, the Recipient is a provider of {{recipient_services_or_products}} and desires to acquire new clients/customers through referrals;

WHEREAS, the Parties wish to establish the terms and conditions under which the Referrer will refer clients/customers to the Recipient, and the Recipient will compensate the Referrer for such referrals.

1. DEFINITIONS

1.1 "Client" or "Customer" means any individual or entity referred by the Referrer to the Recipient who subsequently enters into a service or product agreement with the Recipient.

1.2 "Effective Date" means the date first above written.

1.3 "Net Revenue" means the actual amount received by the Recipient from a Referred Client for {{recipient_services_or_products}}, less any taxes, refunds, discounts, or chargebacks.

2. REFERRAL OBLIGATIONS OF THE REFERRER

2.1 The Referrer shall use its best efforts to identify and refer potential Clients to the Recipient.

2.2 All referrals shall be made in writing, including through email, and shall include the name, contact information, and a brief description of the potential Client's needs.

3. OBLIGATIONS OF THE RECIPIENT

3.1 The Recipient shall diligently pursue all referrals made by the Referrer.

3.2 The Recipient shall keep the Referrer informed of the status of referred Clients, including whether a referral has resulted in a sale or service agreement.

4. COMMISSION

4.1 In consideration for the referrals, the Recipient shall pay the Referrer a commission equal to {{commission_percentage}}% of the Net Revenue generated from each Referred Client.

4.2 Commissions shall be calculated on a {{payment_frequency}} basis and paid within {{payment_days}} days of the end of each {{payment_period}}.

4.3 The Recipient shall provide the Referrer with a statement detailing the Net Revenue and corresponding commission calculations for each payment period.

4.4 No commission shall be payable for any referrals that do not result in a completed transaction or for any services/products provided prior to the Effective Date of this Agreement.

5. TERM AND TERMINATION

5.1 This Agreement shall commence on the Effective Date and continue for a period of {{agreement_term}}, unless terminated earlier in accordance with the provisions herein.

5.2 Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

5.3 Upon termination, the Recipient shall pay all outstanding commissions due to the Referrer for sales completed up to the termination date.

6. CONFIDENTIALITY

6.1 Both Parties agree to keep confidential all non-public information received from the other Party during the term of this Agreement.

6.2 This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}}.

7. INDEMNIFICATION

7.1 Each Party agrees to indemnify and hold harmless the other Party, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with the indemnifying Party's breach of this Agreement.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

8.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_body}}.
