COMMISSION SALES AGREEMENT
This Commission Sales Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{company_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Company");
AND
{{sales_representative_name}}, residing at {{sales_representative_address}}, and holding Identification Document/Passport number {{id_number}} (hereinafter referred to as "the Sales Representative").
Collectively referred to as the "Parties" and individually as a "Party."
1. Purpose of Agreement
This Agreement sets forth the terms and conditions under which the Sales Representative will market and sell the Company's products/services, and the basis upon which the Sales Representative will be compensated for such sales.
2. Engagement and Responsibilities
2.1. The Company hereby engages the Sales Representative as an independent contractor/employee (delete as applicable) to solicit sales for the Company's {{product_service_type}} within the designated territory of {{sales_territory}}.
2.2. The Sales Representative shall: (a) diligently promote and sell the Company's products/services; (b) comply with all Company policies and procedures; (c) provide regular reports on sales activities as requested by the Company; (d) maintain a professional image and uphold the Company's reputation.
3. Commission Structure
3.1. The Sales Representative shall be paid a commission for all confirmed sales achieved, calculated as follows:

b) {{commission_percentage_B}}% of the net sale value for {{product_service_category_B}}.
3.2. \"Net sale value\" shall mean the invoiced price of the sold products/services, less any discounts, returns, refunds, or applicable taxes.
3.3. No commission shall be payable on unconfirmed orders, cancelled orders, returned goods, or unpaid invoices.
4. Commission Payment
4.1. Commissions earned shall be calculated on a {{payment_frequency}} basis (e.g., monthly, quarterly).
4.2. Payment of earned commissions shall be made within {{payment_days}} days following the end of each {{payment_frequency}} period, provided that all invoices related to the sales have been paid by the customer.

5. Term and Termination

The Company may terminate this Agreement immediately without notice if the Sales Representative breaches any material term of this Agreement or engages in misconduct, including but not limited to, misrepresentation, fraud, or failure to meet agreed sales targets for {{consecutive_periods}} consecutive periods.
6. Independent Contractor Status (or Employee Status - Delete as applicable)
6.1. The Sales Representative acts as an independent contractor and is not an employee, partner, or joint venturer of the Company. The Sales Representative shall be solely responsible for all income tax, social security contributions, and any other taxes or levies attributable to the commission earned.
6.2. The Sales Representative shall have no authority to bind the Company to any obligations or agreements.
7. Confidentiality
7.1. The Sales Representative agrees to keep confidential all proprietary information, trade secrets, customer lists, and business practices of the Company, both during and after the term of this Agreement.
8. Governing Law and Dispute Resolution
8.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
8.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{country}}.
9. Entire Agreement
9.1. This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and discussions, whether written or oral.
