Commission Sales Agreement

This Commission Sales Agreement ("Agreement") is made and entered into as of this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Company");

AND

{{salesperson_name}}, an individual residing at {{salesperson_address}}, (hereinafter referred to as "Salesperson").

Collectively referred to as the “Parties”.

WHEREAS, the Company is engaged in the business of {{company_business_description}} and desires to engage the Salesperson to promote and sell its products/services;

WHEREAS, the Salesperson desires to be engaged by the Company to promote and sell its products/services on a commission basis, subject to the terms and conditions hereinafter set forth.

Appointment and Scope of Engagement

The Company hereby appoints the Salesperson as an independent contractor to solicit orders for the Company's products/services in the designated territory of {{territory}}.

The Salesperson agrees to use their best efforts to promote and sell the Company's products/services and to conduct all sales activities in a professional and ethical manner, consistent with the Company’s policies and procedures.

The Salesperson shall not have the authority to bind the Company to any contract or obligation without the express written consent of the Company.

Commission Structure

The Salesperson shall be entitled to a commission on all confirmed sales of Company products/services generated by the Salesperson, as per the rates outlined in Schedule A attached hereto.

Commission shall be calculated on the {{net_sales/gross_sales}} of products/services sold, excluding any taxes, shipping, or other charges.

Commissions shall only be paid on sales for which the Company has received full payment from the customer.

The Company reserves the right to modify the commission structure upon {{number_of_days}} days' written notice to the Salesperson. Any changes will not apply retrospectively to sales already closed.

Payment of Commissions

Commissions earned shall be paid to the Salesperson on a {{frequency}} basis, specifically on or before the {{day_of_month}} day of each {{month}}.

A detailed commission statement will accompany each payment, outlining sales, returns, and commission calculations.

Any disputes regarding commission calculations must be raised in writing within {{number_of_days}} days of receipt of the commission statement, failing which the statement shall be deemed accurate.

Salesperson Responsibilities and Obligations

The Salesperson shall maintain accurate records of all sales activities, customer interactions, and expenses.

The Salesperson shall comply with all applicable laws and regulations in the performance of their duties.

The Salesperson shall not engage in any activities that conflict with the interests of the Company or represent competing products/services during the term of this Agreement.

Company Responsibilities

The Company shall provide the Salesperson with necessary sales materials, product information, and reasonable training.

The Company shall process customer orders promptly and efficiently and maintain a high standard of customer service.

The Company shall provide accurate and timely commission statements and payments as per the terms of this Agreement.

Term and Termination

This Agreement shall commence on {{start_date}} and continue until terminated by either Party.

Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

Notwithstanding the above, the Company may terminate this Agreement immediately upon written notice if the Salesperson is in material breach of any terms of this Agreement.

Upon termination, the Salesperson shall be entitled to commissions on all sales confirmed and paid for by customers prior to the effective date of termination.

Confidentiality

The Salesperson acknowledges that during the course of this Agreement, they may have access to confidential and proprietary information of the Company.

The Salesperson agrees to keep all such information strictly confidential and not to disclose it to any third party or use it for any purpose other than in the performance of their duties under this Agreement, both during and after the termination of this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

Any dispute, controversy or claim arising out of or in connection with this Agreement, including its existence, validity, interpretation, performance, breach or termination, shall be resolved through good faith negotiations between the Parties.

If the Parties are unable to resolve the dispute amicably, they agree to first attempt to settle the dispute through mediation in {{city}}, before resorting to litigation.

Entire Agreement

This Agreement, including Schedule A, constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
