CONTRACT FOR THE STORAGE OF GOODS
This Contract for the Storage of Goods (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{Storer_Company_Name}}, a company duly incorporated and existing under the laws of {{Jurisdiction}}, with its principal place of business at {{Storer_Company_Address}} (hereinafter referred to as the “Storer”),
AND
{{Storage_Provider_Company_Name}}, a company duly incorporated and existing under the laws of {{Jurisdiction}}, with its principal place of business at {{Storage_Provider_Company_Address}} (hereinafter referred to as the “Storage Provider”).
The Storer and Storage Provider are hereinafter collectively referred to as the “Parties” and individually as a “Party”.
1. SCOPE OF SERVICES
1.1 The Storage Provider agrees to store the goods as described in Schedule A (hereinafter referred to as the “Goods”) on behalf of the Storer at its facility located at {{Storage_Facility_Address}} (hereinafter referred to as the “Storage Facility”).
1.2 The Goods shall be stored for a period commencing on {{start_date}} and ending on {{end_date}} (hereinafter referred to as the “Storage Period”), unless terminated earlier in accordance with the provisions of this Agreement.
1.3 The Storage Provider shall exercise reasonable care and diligence in the handling and safekeeping of the Goods, consistent with good industry practice.
2. STORAGE FEES AND PAYMENT
2.1 The Storer shall pay the Storage Provider a storage fee of {{currency}} {{amount}} per {{period}} (e.g., per month/per week), payable in advance on the {{payment_day}} of each {{period}}.
2.2 In addition to the storage fees, the Storer shall be responsible for any additional charges incurred for special handling, insurance, or other services requested by the Storer and agreed upon by the Storage Provider. These additional charges will be invoiced separately.
2.3 Payments shall be made by {{payment_method}} to the Storage Provider’s designated bank account. All payments shall be made in {{currency}}.
3. DECLARATION OF GOODS AND VALUATION
3.1 The Storer shall provide an accurate and comprehensive description of the Goods to be stored, including their quantity, nature, and any special handling requirements, as detailed in Schedule A.
3.2 The Storer declares the total value of the Goods to be {{currency}} {{declared_value}} for insurance purposes. The Storer acknowledges that the Storage Provider’s liability, if any, will be limited to this declared value or statutory limits, whichever is lower, unless otherwise agreed in writing.
3.3 The Storer warrants that it is the legal owner of the Goods or has the lawful authority to store them.
4. ACCESS TO GOODS AND WITHDRAWAL
4.1 The Storer shall have reasonable access to the Storage Facility to inspect or withdraw Goods during regular business hours, provided {{notice_period}} prior notice is given to the Storage Provider.
4.2 The Storer shall be responsible for all costs associated with the retrieval or transport of the Goods.
4.3 The Storage Provider reserves the right to deny access if the Storer is in breach of this Agreement, particularly regarding outstanding payments.
5. LIABILITY AND INDEMNIFICATION
5.1 The Storage Provider shall not be liable for any loss, damage, or destruction of the Goods except where such loss, damage, or destruction is directly caused by the gross negligence or willful misconduct of the Storage Provider.
5.2 The Storer agrees to indemnify and hold harmless the Storage Provider from and against any and all claims, demands, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from the storage of the Goods, except as to the extent caused by the gross negligence or willful misconduct of the Storage Provider.
5.3 The Storage Provider’s maximum aggregate liability under this Agreement shall not exceed the total storage fees paid by the Storer for the Goods concerned during the twelve (12) months preceding the event giving rise to the claim, or the declared value of the Goods, whichever is lower.
6. INSURANCE
6.1 The Storer is solely responsible for arranging and maintaining adequate insurance coverage for the Goods against all risks (e.g., fire, theft, natural disasters) during the Storage Period.
6.2 The Storage Provider may, at the Storer's written request and expense, assist in obtaining insurance coverage, but assumes no liability for the adequacy or validity of such coverage.
7. TERMINATION
7.1 This Agreement may be terminated by either Party by giving {{notice_period_termination}} written notice to the other Party.
7.2 The Storage Provider may terminate this Agreement immediately if the Storer fails to pay the storage fees within {{days_of_non_payment}} days of the due date.
7.3 Upon termination, the Storer shall remove all Goods from the Storage Facility within {{days_to_remove_goods}} days. Failure to do so may result in additional charges and the Storage Provider exercising a lien over the Goods.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1 This Agreement shall be governed by and construed in accordance with the laws of {{Jurisdiction}}.
8.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_rules}}.
9. ENTIRE AGREEMENT
This Agreement, including Schedule A, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
