CONTRACT MANAGEMENT CONSULTING AGREEMENT

This Contract Management Consulting Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{consulting_firm_name}}, a company duly registered in accordance with the laws of {{country}}, with its principal place of business at {{consulting_firm_address}} (hereinafter referred to as the “Consultant”);

AND

{{client_company_name}}, a company duly registered in accordance with the laws of {{country}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as the “Client”).

Collectively referred to as the “Parties” and individually as a “Party”.

1. ENGAGEMENT OF SERVICES

1.1 The Client hereby engages the Consultant to provide management consulting services, and the Consultant hereby accepts such engagement, on the terms and conditions set forth in this Agreement.

1.2 The specific scope of services to be rendered by the Consultant (hereinafter referred to as the “Services”) shall be as detailed in Schedule A attached hereto and forming an integral part of this Agreement. Any changes to the scope of Services must be agreed upon in writing by both Parties.

2. TERM OF AGREEMENT

2.1 This Agreement shall commence on {{start_date}} and shall continue in full force and effect until {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.

2.2 The Parties may, by mutual written agreement, extend the term of this Agreement for an additional period.

3. FEES AND PAYMENT

3.1 In consideration for the Services, the Client shall pay the Consultant a fee of {{currency}} {{fee_amount}} ({{fee_amount_words}}) per {{payment_period}}.

3.2 Payment shall be made by the Client to the Consultant on or before the {{payment_due_date}} of each {{payment_period}}.

3.3 All fees are exclusive of VAT or any other applicable taxes, which shall be borne by the Client where applicable.

3.4 Invoices shall be submitted by the Consultant to the Client on a {{invoicing_frequency}} basis.

3.5 Any expenses incurred by the Consultant in the performance of the Services, such as travel, accommodation, and materials, shall be reimbursed by the Client upon presentation of valid receipts, provided that such expenses have been pre-approved by the Client in writing.

4. CONFIDENTIALITY

4.1 Both Parties agree to keep confidential all information, whether written or oral, concerning the business, operations, clients, customers, or affairs of the other Party that comes into their possession during the term of this Agreement (hereinafter referred to as “Confidential Information”).

4.2 Neither Party shall disclose any Confidential Information to any third party without the prior written consent of the other Party, except where required by law.

4.3 This confidentiality obligation shall survive the termination or expiration of this Agreement.

5. INTELLECTUAL PROPERTY

5.1 All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, arising from the Services rendered by the Consultant under this Agreement shall belong to {{party_owning_ip_rights}}.

5.2 The Consultant grants the Client a non-exclusive, royalty-free license to use any intellectual property developed specifically for the Client under this Agreement for the Client's internal business purposes.

6. INDEMNITY

6.1 The Consultant shall indemnify and hold harmless the Client from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with any breach by the Consultant of its obligations under this Agreement, or any negligent act or omission by the Consultant in the performance of the Services.

6.2 The Client shall indemnify and hold harmless the Consultant from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with any breach by the Client of its obligations under this Agreement, or any negligent act or omission by the Client in relation to the Services.

7. LIMITATION OF LIABILITY

7.1 Neither Party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunity, arising out of or in connection with this Agreement.

7.2 The total liability of the Consultant to the Client under this Agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Client to the Consultant under this Agreement.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

8.2 Any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{city}}, in accordance with the arbitration rules of {{arbitration_body}} for the time being in force, which rules are deemed to be incorporated by reference into this clause.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the same.
