DEED OF ACQUITTANCE AND DISCHARGE

This Deed of Acquittance and Discharge is made and entered into on this {{day}} day of {{month}}, {{year}}.

BETWEEN:

__________________________________________________ (hereinafter referred to as "The Releasor")

AND

__________________________________________________ (hereinafter referred to as "The Releasee")

WHEREAS

A. The Releasor and The Releasee entered into an agreement/transaction/obligation concerning {{brief_description_of_original_agreement}} (hereinafter referred to as “the Original Obligation”).

B. As a result of the Original Obligation, there existed certain debts, claims, demands, or liabilities between the Parties.

C. The Parties have now reached a full and final settlement in respect of all debts, claims, demands, or liabilities arising from or connected with the Original Obligation.

NOW, THEREFORE, IT IS HEREBY ACKNOWLEDGED AND AGREED AS FOLLOWS:

1. Full and Final Settlement: The Releasor hereby acknowledges receipt of the sum of {{currency}} {{settlement_amount}} ({{settlement_amount_in_words}}) from The Releasee, or other consideration as agreed, in full and final settlement of all and any claims, demands, actions, causes of action, debts, sums of money, accounts, contracts, controversies, agreements, promises, damages, and liabilities whatsoever, whether known or unknown, suspected or unsuspected, liquidated or unliquidated, fixed or contingent, foreseen or unforeseen, at law or in equity, which the Releasor ever had, now has or hereafter can, shall or may have against The Releasee arising from, relating to, or in connection with the Original Obligation.

2. Discharge and Release: The Releasor, for itself, its successors and assigns, does hereby fully and forever acquit, release and discharge The Releasee, its heirs, executors, administrators, successors, and assigns, from any and all present and future obligations, liabilities, claims, demands, and causes of action whatsoever, which the Releasor ever had, now has, or which it or its successors or assigns hereafter can, shall or may have against The Releasee, in respect of the Original Obligation.

3. No Further Claims: The Releasor warrants that it has not assigned or transferred any interest in the claims or demands referred to herein.

4. Entire Agreement: This Deed constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating thereto.

5. Governing Law: This Deed shall be governed by and construed in accordance with the laws of {{applicable_country_or_province}}.
