END-USER SOFTWARE LICENSE AGREEMENT (EULA)

This End-User Software License Agreement ('Agreement') is a legal agreement between you, the end-user ('Licensee'), and {{company_name}} ('Licensor'), for the software product identified above, which includes computer software and associated media, printed materials, and 'online' or electronic documentation ('Software'). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. GRANT OF LICENSE

The Licensor grants the Licensee a non-exclusive, non-transferable, revocable license to use one copy of the Software on a single computer or device for personal, non-commercial use, in accordance with the terms of this Agreement. This license does not grant the right to sublicense, distribute, or otherwise make the Software available to third parties.

2. RESTRICTIONS ON USE

The Licensee may not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software. The Licensee may not remove any proprietary notices or labels on the Software. The Licensee may not use the Software in any manner that infringes the intellectual property rights of others.

3. INTELLECTUAL PROPERTY

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. All rights, title, and interest in and to the Software, including all intellectual property rights, remain with the Licensor.

4. TERMINATION

This Agreement is effective until terminated. This Agreement will terminate automatically without notice from the Licensor if you fail to comply with any provision of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies of the Software and all of its component parts.

5. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH THE LICENSEE. THE LICENSOR DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION, OR LOST INFORMATION) ARISING OUT OF 'THE USE OF' OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{country_of_governance}}, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city_of_jurisdiction}}.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Licensee and the Licensor and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
