Equipment Maintenance Agreement

This Equipment Maintenance Agreement (hereinafter referred to as the 'Agreement') is entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{service_provider_company_name}}, a company duly incorporated under the laws of {{service_provider_jurisdiction}}, with its principal place of business at {{service_provider_address}} (hereinafter referred to as the 'Service Provider'); and

{{client_company_name}}, a company duly incorporated under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as the 'Client').

1. Equipment Covered

The Service Provider agrees to provide maintenance services for the following equipment (hereinafter referred to as the 'Equipment'):

2. Scope of Services

The Service Provider shall perform the following maintenance services:

Preventative Maintenance: Regular scheduled maintenance as per manufacturer guidelines or as agreed upon (e.g., {{preventative_maintenance_frequency}}). This includes {{preventative_maintenance_details}}.

Corrective Maintenance: Repair services for unexpected breakdowns or malfunctions upon notification by the Client.

Emergency Support: {{emergency_support_availability}} (e.g., 24/7, business hours) for critical failures.

Exclusions: The Service Provider is not responsible for repairs necessitated by misuse, accidents, unauthorised alterations, or acts of God. (See clause {{exclusion_clause_number}} for full details).

3. Service Levels

Response Time: The Service Provider shall respond to service requests within {{response_time}} (e.g., 4 hours for critical issues, 24 hours for non-critical issues) during {{service_hours}}.

Resolution Time: The Service Provider shall endeavour to resolve issues within {{resolution_time}} of diagnosis, subject to parts availability.

Reporting: The Service Provider shall provide service reports for each maintenance activity, detailing work performed, parts used, and recommendations.

4. Fees and Payment

Maintenance Fee: The Client shall pay the Service Provider a recurring maintenance fee of {{currency}} {{maintenance_fee_amount}} {{maintenance_fee_frequency}} (e.g., monthly, quarterly, annually).

Payment Terms: Payments are due within {{payment_due_days}} days of the invoice date.

5. Term and Termination

6. Responsibilities of the Client

The Client shall provide access to the Equipment and necessary facilities (e.g., power, internet) for the Service Provider to perform the services.

The Client shall promptly notify the Service Provider of any equipment malfunctions or issues.

The Client shall not attempt to repair or allow unauthorised third parties to repair the Equipment.

7. Limitation of Liability

The Service Provider’s total liability for any claim arising out of or in connection with this Agreement, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client to the Service Provider under this Agreement in the {{number_of_months}} months preceding the event giving rise to the claim.

Neither party shall be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits or business interruption.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the parties.

Failing amicable resolution, the dispute shall be submitted to mediation in {{mediation_location}} in accordance with the rules of {{mediation_body}} (if applicable).

If mediation is unsuccessful, the dispute shall be finally settled by arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_body}}.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.

Any amendments or modifications to this Agreement must be in writing and signed by authorised representatives of both parties.
