Equipment Placement Agreement

This Equipment Placement Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}} ('Effective Date'), By and Between:

{{owner_company_name}}, a company duly incorporated under the laws of [South Africa/ {{jurisdiction}}], with its principal place of business at {{owner_company_address}} (hereinafter referred to as 'the Owner');

AND

{{host_company_name}}, a company duly incorporated under the laws of [South Africa/ {{jurisdiction}}], with its principal place of business at {{host_company_address}} (hereinafter referred to as 'the Host').

The Owner and the Host may hereinafter be collectively referred to as 'the Parties' or individually as 'Party'.

1. Purpose of Agreement

This Agreement sets forth the terms and conditions under which the Owner shall place certain equipment on the premises owned or controlled by the Host, and the responsibilities of each Party with respect to such equipment.

2. Description of Equipment

The equipment ('Equipment') to be placed by the Owner on the Host's premises is detailed as follows:

3. Term of Agreement

This Agreement shall commence on the Effective Date and shall continue for a period of {{term_duration}} (e.g., months, years) ('Initial Term'), unless terminated earlier in accordance with the provisions of this Agreement. The Agreement may be renewed upon mutual written consent of both Parties for further terms of {{renewal_duration}}.

4. Placement and Access

4.1 The Owner shall be responsible for the delivery, installation, and removal of the Equipment at its own cost, unless otherwise agreed in writing.

4.2 The Host shall provide reasonable access to its premises for the Owner's personnel or agents to install, maintain, repair, and remove the Equipment during normal business hours or as otherwise agreed.

4.3 The Host shall provide adequate space and all necessary utilities (e.g., power, internet access) required for the proper functioning of the Equipment, as mutually agreed upon.

5. Maintenance and Operation

5.1 The Owner shall be responsible for all maintenance, repairs, and servicing of the Equipment. The Host shall promptly notify the Owner of any malfunction or damage to the Equipment.

5.2 The Host shall operate and use the Equipment strictly in accordance with the Owner's instructions and any operating manuals provided. The Host shall not, and shall ensure that its employees, agents, or contractors do not, modify, alter, or attempt to repair the Equipment without the prior written consent of the Owner.

6. Indemnity and Liability

6.1 The Host shall indemnify and hold harmless the Owner, its officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Host's use, operation, or possession of the Equipment, or any breach of this Agreement by the Host, except to the extent caused by the gross negligence or wilful misconduct of the Owner.

6.2 The Owner shall indemnify and hold harmless the Host, its officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any defects in the Equipment not caused by the Host, or the Owner's negligence or wilful misconduct in the installation, maintenance, or removal of the Equipment.

6.3 NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Insurance

7.1 The Owner shall maintain appropriate insurance coverage for the Equipment against loss, theft, or damage during the Term of this Agreement.

7.2 The Host shall maintain general liability insurance with coverage limits of not less than {{insurance_amount}} to cover any liability arising from the placement and use of the Equipment on its premises.

8. Governing Law and Dispute Resolution

8.1 This Agreement shall be governed by and construed in accordance with the laws of [South Africa/ {{jurisdiction}}].

8.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the Arbitration Foundation of Southern Africa (AFSA), which rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat of the arbitration shall be [Johannesburg, South Africa/ {{arbitration_city}}]. The language of the arbitration shall be English.

9. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
