Exclusive Tenant Brokerage Agreement
This Exclusive Tenant Brokerage Agreement (hereinafter referred to as “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
**{{client_name}}** (hereinafter referred to as “Client”), with its principal place of business located at {{client_address}}.
AND
**{{broker_company_name}}** (hereinafter referred to as “Broker”), with its principal place of business located at {{broker_address}}.
1. Appointment of Broker
The Client hereby grants the Broker the exclusive right to act as its agent for the purpose of locating, negotiating for, and securing a leasehold interest in commercial property suitable for the Client’s business operations within the stipulated geographic area of {{geographic_area}}.
This exclusivity shall commence on {{start_date}} and terminate on {{end_date}} (the “Term”), unless otherwise extended in writing by both parties.
2. Broker's Duties
The Broker agrees to:
a. Diligently search for suitable commercial properties that meet the Client’s specified criteria, including but not limited to location, size, lease term, and budget.
b. Present to the Client all viable property options and provide relevant information and market analysis.
c. Assist the Client in negotiating the terms and conditions of any proposed lease agreement.
d. Maintain strict confidentiality regarding all information provided by the Client that is not publicly available.
3. Client's Obligations
The Client agrees to:
a. Provide the Broker with accurate and complete information regarding its property requirements and financial capacity.
b. Refer all inquiries from other brokers, landlords, or their representatives regarding commercial property to the Broker during the Term of this Agreement.
c. Not engage the services of any other broker or agent for the purpose of securing a commercial lease within the specified geographic area during the Term.
d. Be available to view properties and provide timely feedback to the Broker.
4. Compensation
In consideration for the services rendered by the Broker, the Client agrees to pay the Broker a commission equal to {{commission_percentage}}% of the total gross lease value, or a flat fee of {{flat_fee_amount}}, whichever is applicable, upon the successful execution of a lease agreement.
The commission shall be due and payable upon {{payment_due_event}}.
In the event that a lease includes an option to renew or expand, the Broker shall be entitled to an additional commission calculated on the same basis, should the Client exercise such options during the term of said option.
5. Indemnification
The Client agrees to indemnify and hold harmless the Broker from any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from any misrepresentation or breach of warranty made by the Client, or from any act or omission by the Client related to the negotiation or execution of a lease agreement.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
7. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
