EXCLUSIVE SOLLICITATION SALES COMMISSION AGREEMENT

This Exclusive Sollicitation Sales Commission Agreement ("Agreement") is made and entered into as of {{date}} ("Effective Date") by and between:

{{company_name}}, a company duly incorporated under the laws of {{jurisdiction}}, with its principal place of business at {{company_address}} (hereinafter referred to as "Company"), and

{{sales_representative_name}}, an individual residing at {{sales_representative_address}} / a company duly incorporated under the laws of {{jurisdiction}}, with its principal place of business at {{sales_representative_address}} (hereinafter referred to as "Sales Representative").

1. APPOINTMENT AND EXCLUSIVITY

The Company hereby appoints the Sales Representative as its exclusive agent for the solicitation of sales of {{products_and_services}} (hereinafter referred to as "Products") within the territory of {{territory}}. The Sales Representative accepts this appointment.

During the term of this Agreement, the Company shall not appoint any other sales representative or agent for the sale of the Products within the designated territory, nor shall the Company directly solicit sales within the territory, without the express written consent of the Sales Representative.

2. COMMISSION STRUCTURE

The Sales Representative shall be entitled to a commission on all net sales of Products directly attributable to their efforts within the exclusive territory. The commission rate shall be {{commission_percentage}}% of the net sales price.

Net sales shall be defined as the gross sales price less any returns, allowances, discounts, and uncollectible accounts. No commission shall be paid on sales that are cancelled or returned by the customer.

3. PAYMENT OF COMMISSION

Commissions earned by the Sales Representative shall be calculated and paid on a {{payment_frequency}} basis (e.g., monthly, quarterly).

A detailed statement of sales and commissions due shall be provided to the Sales Representative by the {{payment_day_of_month}} day of the month following the end of each {{payment_frequency}}.

4. TERM AND TERMINATION

This Agreement shall commence on the Effective Date and continue for an initial period of {{initial_term_years}} years, renewable automatically for subsequent periods of {{renewal_term_years}} years unless either party provides written notice of non-renewal at least {{notice_period_days}} days prior to the end of the then-current term.

Either party may terminate this Agreement immediately upon written notice in the event of a material breach of any provision of this Agreement by the other party, provided that such breach is not cured within {{cure_period_days}} days of receiving written notice thereof.

5. INDEMNIFICATION

The Sales Representative shall indemnify and hold harmless the Company from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach by the Sales Representative of its obligations under this Agreement or any negligent or wrongful act or omission of the Sales Representative.

The Company shall indemnify and hold harmless the Sales Representative from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any defects in the Products or any breach by the Company of its obligations under this Agreement.

6. CONFIDENTIALITY

The Sales Representative acknowledges that it may have access to confidential and proprietary information of the Company, including but not limited to customer lists, pricing strategies, and product development plans. The Sales Representative agrees to maintain the confidentiality of all such information during and after the term of this Agreement.

7. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement shall be submitted to mediation in accordance with the rules of {{mediation_body}}. If the dispute is not resolved through mediation, it shall be referred to and finally resolved by arbitration administered by {{arbitration_body}} in accordance with its rules.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

IN WITNESS WHEREOF, the parties have executed this Exclusive Sollicitation Sales Commission Agreement as of the Effective Date.
