EXCLUSIVE SALES SOLICITATION COMMISSION AGREEMENT
This Exclusive Sales Solicitation Commission Agreement ('Agreement') is made and entered into on this {{date}} by and between:
{{company_name}}, a company duly incorporated under the laws of [Jurisdiction, e.g., South Africa], with its principal place of business at {{company_address}} (hereinafter referred to as the 'Company').
AND
{{sales_representative_name}}, an individual residing at {{sales_representative_address}} (hereinafter referred to as the 'Sales Representative').
WHEREAS, the Company desires to engage the Sales Representative to solicit sales of its products/services on an exclusive commission basis, and the Sales Representative desires to undertake such solicitation, subject to the terms and conditions set forth herein.
1. Appointment and Exclusivity
1.1. The Company hereby appoints the Sales Representative as its exclusive sales solicitor for the products/services as defined in Schedule A (hereinafter 'Products/Services') within the territory defined in Schedule B (hereinafter 'Territory').
1.2. During the term of this Agreement, the Company shall not appoint any other individual or entity to solicit sales of the Products/Services within the Territory.
1.3. The Sales Representative agrees to exclusively solicit sales for the Company's Products/Services within the Territory and shall not, directly or indirectly, solicit sales for competing products or services during the term of this Agreement.
2. Term and Termination
2.1. This Agreement shall commence on {{start_date}} and shall continue for an initial period of {{initial_term_months}} months, unless terminated earlier in accordance with the provisions of this Agreement.
2.2. Either party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other party.
2.3. The Company may terminate this Agreement immediately upon written notice if the Sales Representative: (a) breaches any material term of this Agreement; (b) engages in any conduct that is detrimental to the Company’s reputation or business interests; or (c) fails to meet agreed-upon sales targets for {{consecutive_periods}} consecutive periods.
3. Commission Structure
3.1. The Sales Representative shall be entitled to a commission of {{commission_percentage}}% of the net sales revenue generated from sales of the Products/Services within the Territory, which are directly attributable to the Sales Representative's efforts and have been paid in full by the customer.
3.2. Net sales revenue shall mean the gross sales price less any returns, allowances, discounts, and applicable taxes.
3.3. Commissions shall be calculated and paid on a {{payment_frequency}} basis, within {{days_after_period_end}} days following the end of each {{payment_period}}. A detailed commission statement will accompany each payment.
3.4. No commission shall be payable on uncollected invoices, sales to existing Company clients prior to this Agreement, or sales generated outside the defined Territory without prior written approval.
4. Sales Representative's Responsibilities
4.1. The Sales Representative shall use best efforts to solicit and promote the sale of the Products/Services within the Territory.
4.2. The Sales Representative shall maintain accurate records of all sales activities, customer interactions, and expenses related to this Agreement and shall submit reports as reasonably requested by the Company.
4.3. The Sales Representative shall conduct all activities in a professional manner and in compliance with all applicable laws and regulations, and the Company’s policies and guidelines.
5. Company's Responsibilities
5.1. The Company shall provide the Sales Representative with necessary sales materials, product information, and reasonable training.
5.2. The Company shall process and fulfill orders generated by the Sales Representative in a timely and efficient manner.
5.3. The Company shall provide ongoing support and communication to the Sales Representative to facilitate their sales efforts.
6. Independent Contractor Status
6.1. The Sales Representative acknowledges and agrees that they are an independent contractor and not an employee, partner, agent, or joint venturer of the Company.
6.2. The Sales Representative shall be solely responsible for all taxes, national insurance contributions, and other statutory payments, if any, arising from the compensation received under this Agreement.
6.3. The Sales Representative shall not have the authority to bind the Company to any contract or obligation without the Company’s prior written consent.
7. Confidentiality and Intellectual Property
7.1. The Sales Representative agrees to keep confidential all proprietary and confidential information of the Company obtained during the course of this Agreement, including but not limited to customer lists, pricing, and business strategies.
7.2. All intellectual property developed by the Sales Representative during the performance of this Agreement, related to the Products/Services, shall be the sole property of the Company.
8. Governing Law and Dispute Resolution
8.1. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction, e.g., South Africa].
8.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction, e.g., South Africa].
9. Entire Agreement
This Agreement, including Schedule A and Schedule B, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.
Any amendments to this Agreement must be in writing and signed by both parties.
