Referral Fee Agreement

This Referral Fee Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}.

BETWEEN:

{{referring_party_name}}, a company/individual residing at {{referring_party_address}} (hereinafter referred to as 'Referrer');

AND

{{receiving_party_name}}, a company/individual residing at {{receiving_party_address}} (hereinafter referred to as 'Recipient').

The Referrer and Recipient are hereinafter collectively referred to as 'Parties' and individually as 'Party'.

Recitals

WHEREAS, the Referrer is engaged in the business of {{referrer_business_description}} and has established relationships with potential clients/customers;

WHEREAS, the Recipient is engaged in the business of {{recipient_business_description}} and desires to acquire new clients/customers;

WHEREAS, the Referrer is willing to refer potential clients/customers to the Recipient in exchange for a referral fee, and the Recipient is willing to pay such a fee in accordance with the terms and conditions of this Agreement.

Referral Services

The Referrer agrees to introduce or refer potential clients/customers (hereinafter referred to as 'Referred Clients') to the Recipient for the purpose of the Referred Clients engaging the Recipient's services/products, specifically {{description_of_services_products}}.

The Referrer shall provide the Recipient with the name and contact details of each Referred Client, along with any other relevant information that may assist the Recipient in securing business from such Referred Client.

Referral Fee

In consideration for each successful referral, the Recipient agrees to pay the Referrer a referral fee ('Referral Fee') equal to {{percentage_of_fee}}% of the net revenue generated by the Recipient from the Referred Client for the services/products specified in Section 4. The net revenue shall exclude any taxes, discounts, refunds, or chargebacks.

Alternatively, the Referral Fee shall be a fixed amount of {{fixed_referral_amount}} per successful referral.

A referral shall be deemed 'successful' when the Referred Client enters into a binding agreement with the Recipient and makes their first payment for the services/products.

Payment Terms

The Recipient shall provide the Referrer with a detailed statement of account for all successful referrals on a {{payment_frequency}} basis (e.g., monthly, quarterly).

Payment of the Referral Fee shall be made by the Recipient to the Referrer within {{payment_days}} days of the end of the {{payment_frequency}} period, via {{payment_method}} (e.g., electronic funds transfer to {{bank_account_details}}).

Term and Termination

This Agreement shall commence on the Effective Date and shall continue for a period of {{agreement_term_duration}} unless terminated earlier in accordance with the provisions herein.

Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

Notwithstanding termination, the Recipient shall remain obligated to pay any Referral Fees accrued prior to the effective date of termination.

Confidentiality

Both Parties agree to maintain the confidentiality of all proprietary and confidential information disclosed by the other Party during the term of this Agreement, including but not limited to business plans, client lists, and financial information.

This obligation of confidentiality shall survive the termination of this Agreement.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city_name}}, {{country_name}}.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

Any amendment or modification to this Agreement must be in writing and signed by both Parties.
