RELEASE AND PERMISSION TO USE TESTIMONIAL AND PHOTOGRAPHS

THIS RELEASE AND PERMISSION AGREEMENT (the “Agreement”) is made and entered into this {{day}} day of {{month}}, {{year}}, by and between {{company_name}} (hereinafter “the Company”), located at {{company_address}}, and the undersigned individual (hereinafter “the Releasor”), located at {{releasor_address}}.

1. Grant of Rights

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Releasor hereby grants to the Company, its successors, assigns, and licensees, the absolute and irrevocable right and permission to use, reproduce, publish, broadcast, distribute, and otherwise disseminate, in whole or in part, the Releasor’s testimonial statement(s) (hereinafter “the Testimonial”) and/or photograph(s), video footage, or other visual representations (hereinafter “the Photographs”) taken on {{date_of_media_capture}} at {{location_of_media_capture}}.

The Company may use the Testimonial and Photographs for any lawful purpose, including but not limited to advertising, publicity, promotional materials, publications, presentations, and all other public displays, in any and all media, now known or hereafter devised, throughout the world, in perpetuity, without further compensation, notice, or review to the Releasor.

2. Releasor’s Representations and Warranties

The Releasor represents and warrants that they are at least eighteen (18) years of age and are competent to contract in their own name. The Releasor further represents and warrants that the Testimonial provided is true and accurate to the best of their knowledge and belief, and that the Releasor owns all rights in the Testimonial and Photographs (if provided by Releasor) or has the full right and authority to grant the rights herein without violating the rights of any third party. The Releasor confirms that they have not been coerced or unduly influenced into providing this Testimonial or granting this Release.

3. Waiver of Rights and Release from Liability

The Releasor hereby waives any right to inspect or approve the finished product(s) or advertising copy that may be used in connection with the Testimonial or Photographs, or the eventual use to which it may be applied. The Releasor also waives any right to royalties or other compensation arising from or related to the use of the Testimonial and Photographs.

The Releasor hereby releases, discharges, and agrees to hold harmless the Company, its directors, officers, employees, agents, and assigns from any and all claims, demands, liabilities, and causes of action whatsoever, whether in law or in equity, arising out of or in connection with the use of the Testimonial and Photographs, including, without limitation, any claims for libel, slander, invasion of privacy, publicity rights, defamation, or infringement of copyright.

4. No Obligation to Use

The Releasor understands and agrees that the Company is under no obligation to use the Testimonial or Photographs, and may elect to discontinue their use at any time without notice.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of {{country}}, without regard to its conflict of laws principles.

6. Entire Agreement

This Agreement constitutes the entire agreement between the Company and the Releasor regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. No modification of this Agreement shall be effective unless in writing and signed by both parties.

7. Signature

IN WITNESS WHEREOF, the Releasor has executed this Release and Permission to Use Testimonial and Photographs on the date first written above.
