This Remediation Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

AND

{{Party_B_name}} (Company Registration Number: {{Party_B_registration_number}}), with its registered office at {{Party_B_address}} (hereinafter referred to as "Party B").

Party A and Party B are hereinafter collectively referred to as the "Parties" and individually as a "Party."

Recitals

WHEREAS, a certain event or circumstance occurred on or about {{incident_date}} concerning {{brief_description_of_incident}} (hereinafter referred to as the "Incident");

WHEREAS, the Incident resulted in {{description_of_damages_or_impact}};

WHEREAS, Party A acknowledges its responsibility or a degree of responsibility for the Incident and its consequences;

WHEREAS, the Parties wish to resolve all matters arising from the Incident amicably and without further litigation, and to establish a clear plan for remediation and compensation.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

Remediation Actions

Party A hereby agrees to undertake the following specific remediation actions to address the Incident:

2. {{remediation_action_2_description}}, to be completed by {{remediation_action_2_deadline}}.

3. {{remediation_action_3_description}}, including but not limited to {{details_of_action_3}}, to be completed by {{remediation_action_3_deadline}}.

Any additional remediation actions deemed necessary will be mutually agreed upon in writing by both Parties.

Compensation and Payments

In consideration for the damages and losses incurred by Party B as a result of the Incident, Party A agrees to pay Party B the total sum of {{currency}} {{compensation_amount}} ({{compensation_amount_words}}).

This compensation shall be paid in the following manner:

1. An initial payment of {{currency}} {{initial_payment_amount}} on or before {{initial_payment_date}}.

Release and Waiver

Upon full and satisfactory completion of all remediation actions and the full payment of the compensation amount as specified in this Agreement, Party B hereby releases and forever discharges Party A, its agents, employees, successors, and assigns, from any and all claims, demands, damages, actions, or causes of action, whether known or unknown, arising from or related to the Incident.

Confidentiality

The Parties agree that the terms and conditions of this Agreement, including the details of the Incident and the remediation actions, shall be kept strictly confidential and shall not be disclosed to any third party without the prior written consent of both Parties, except as required by law or to their legal and financial advisors.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through amicable negotiation between the Parties. If the Parties are unable to reach an amicable resolution within {{negotiation_period}} days, the dispute shall be referred to mediation in accordance with the mediation rules of {{mediation_organisation_name}}.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating thereto. No modification or amendment of this Agreement shall be effective unless in writing and signed by both Parties.
