RESIDENTIAL SERVICE AGREEMENT

This Residential Service Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**{{service_provider_company_name}}**, a company duly incorporated under the laws of [African Country, e.g., Kenya], with its principal place of business located at {{service_provider_address}} (hereinafter referred to as "Service Provider").

AND

**{{client_full_name}}**, residing at {{client_full_address}} (hereinafter referred to as "Client").

Collectively referred to as the "Parties" and individually as a "Party".

1. Scope of Services

The Service Provider agrees to perform the following services (the "Services") for the Client at the residential property located at {{property_address}}:

Any additional services requested by the Client and agreed upon by the Service Provider shall be outlined in a separate Written amendment to this Agreement.

2. Term of Agreement

This Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.

This Agreement may also be on a recurring basis, commencing on {{start_date}} and continuing month-to-month, or on a frequency as agreed upon (e.g., weekly, bi-weekly), until terminated by either party with {{notice_period}} written notice.

3. Payment Terms

The Client agrees to pay the Service Provider a total fee of {{total_fee}} ({{currency}}).

Payment Schedule:

a. An upfront payment of {{initial_payment_amount}} ({{currency}}) shall be made on or before {{initial_payment_date}}.

b. Subsequent payments of {{recurring_payment_amount}} ({{currency}}) shall be made {{payment_frequency}} (e.g., weekly, monthly) on or before {{payment_due_day_of_month}} of each {{payment_period}}.

Payment methods accepted include: {{payment_methods_accepted}}.

Late payments shall incur a penalty of {{late_payment_penalty_percentage}}% per month on the outstanding balance.

4. Client Obligations

The Client agrees to:

a. Provide access to the property at agreed-upon times.

b. Ensure a safe working environment for the Service Provider's personnel.

c. Provide all necessary information and materials required for the proper execution of the Services.

d. Make timely payments as per Section 3.

5. Service Provider Obligations

The Service Provider agrees to:

a. Perform the Services in a professional and workmanlike manner.

b. Use reasonable care and skill in performing the Services.

c. Ensure all personnel are adequately trained and qualified.

d. Adhere to all applicable health, safety, and environmental regulations of [African Country, e.g., Nigeria].

6. Indemnification and Limitation of Liability

The Service Provider shall indemnify and hold harmless the Client from and against any and all claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with the Service Provider's gross negligence or willful misconduct in the performance of the Services.

The Client shall indemnify and hold harmless the Service Provider from and against any and all claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with the Client's breach of any term of this Agreement or their negligence.

NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, THE TOTAL LIABILITY OF THE SERVICE PROVIDER TO THE CLIENT FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO THE SERVICE PROVIDER UNDER THIS AGREEMENT IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

7. Termination

This Agreement may be terminated by either Party upon {{termination_notice_period}} days' written notice to the other Party.

Either Party may terminate this Agreement immediately if the other Party commits a material breach of any of its obligations under this Agreement and fails to remedy such breach within {{cure_period}} days after receiving written notice thereof.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [African Country, e.g., South Africa].

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by negotiation between the Parties.

If the Parties are unable to resolve the dispute through negotiation within {{negotiation_period}} days, the dispute shall be referred to mediation in accordance with the rules of {{mediation_body_or_process_in_country, e.g., the Lagos Court of Arbitration}}.

Failing amicable settlement through mediation, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_body_or_process_in_country, e.g., the Arbitration Foundation of Southern Africa (AFSA)}}.

The seat of the arbitration shall be {{city_in_country, e.g., Accra, Ghana}}.

9. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
