SEPARATION AND RELEASE AGREEMENT

This Separation and Release Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

1. {{company_name}}, a company duly incorporated and existing under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Company"); and

2. {{employee_full_name}}, an adult residing at {{employee_address}}, holding identification document number {{employee_id_number}} (hereinafter referred to as "the Employee").

The Company and the Employee are hereinafter collectively referred to as "the Parties" and individually as "Party".

RECITALS

WHEREAS, the Employee has been employed by the Company in the position of {{employee_position}} since {{start_date}};

WHEREAS, the Parties have mutually agreed to terminate the Employee's employment with the Company, effective on {{termination_date}} (hereinafter referred to as the "Termination Date"); and

WHEREAS, the Parties wish to resolve all matters arising out of or relating to the Employee's employment and separation from employment, including any and all claims, demands, actions, or causes of action that the Parties may have against each other, on the terms and conditions set forth herein.

TERMINATION OF EMPLOYMENT

The Employee's employment with the Company shall terminate effective {{termination_date}}. On and after the Termination Date, the Employee shall no longer be an employee of the Company and shall not be entitled to any further compensation, benefits, or perquisites of employment other than as expressly provided for in this Agreement.

SEPARATION PACKAGE AND CONSIDERATION

In full and final settlement of all claims related to the Employee's employment and separation, and in consideration for the Employee's promises and covenants contained herein, the Company agrees to provide the Employee with the following separation package:

a) Severance Payment: A gross severance payment of {{severance_amount}} ({{severance_amount_words}}) less applicable deductions and taxes, payable on or before {{payment_date}}.

b) Accrued Leave: Payment for any untaken accrued annual leave, calculated up to the Termination Date, amounting to {{leave_payment_amount}}.

RELEASE OF CLAIMS BY EMPLOYEE

In consideration of the separation package described in Section 4, the Employee, for himself/herself and his/her heirs, executors, administrators, successors, and assigns, hereby unconditionally and irrevocably releases and forever discharges the Company and its past, present, and future parent companies, subsidiaries, affiliates, predecessors, successors, assigns, and their respective officers, directors, employees, agents, attorneys, and representatives (collectively, "Releasees"), from any and all claims, demands, actions, causes of action, suits, grievances, obligations, damages, and liabilities, whether known or unknown, suspected or unsuspected, liquidated or unliquidated, perfected or inchoate, actual or contingent, arising out of or relating to the Employee's employment with, or separation from, the Company, up to the date of execution of this Agreement. This release includes, but is not limited to, claims for wrongful dismissal, unfair dismissal, breach of contract, discrimination (on any prohibited grounds), harassment, defamation, unpaid wages, commissions, bonuses, benefits, or any other claims arising under common law or statutory law in {{country}} or any other applicable jurisdiction.

NON-ADMISSION OF LIABILITY

This Agreement is entered into solely for the purpose of settling and compromising all claims between the Parties. Nothing contained in this Agreement shall be construed as an admission of liability or wrongdoing on the part of the Company or any Releasee, all of whom expressly deny any liability or wrongdoing.

CONFIDENTIALITY

The Employee agrees to keep the terms and conditions of this Agreement strictly confidential and shall not disclose them to any third party, except to his/her legal and financial advisors, or as required by law. The Employee further agrees to continue to abide by any existing confidentiality obligations owed to the Company concerning trade secrets, proprietary information, and confidential business information.

RETURN OF COMPANY PROPERTY

The Employee confirms that all Company property, including but not limited to, laptops, mobile phones, keys, access cards, and documents (whether hard copy or electronic), has been returned to the Company in good working order by {{return_date}}.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. The Parties irrevocably submit to the non-exclusive jurisdiction of the courts of {{country}} for any disputes arising out of or in connection with this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by both Parties.

ACKNOWLEDGEMENT AND WAIVER

The Employee acknowledges that he/she has been advised to consult with an independent legal advisor before signing this Agreement and has had ample opportunity to do so. The Employee further acknowledges that he/she has read and understood the terms of this Agreement, that he/she is entering into it voluntarily, and that he/she has not been coerced or unduly influenced to do so.
