Settlement Agreement

This Settlement Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

1. {{Party_A_name}}, with its principal place of business at {{Party_A_address}} (hereinafter referred to as "Party A"); and

2. {{Party_B_name}}, with its principal place of business at {{Party_B_address}} (hereinafter referred to as "Party B").

Recitals

WHEREAS, a dispute has arisen between Party A and Party B concerning {{brief_description_of_dispute}} (hereinafter referred to as "the Dispute"); and

WHEREAS, the Parties wish to resolve the Dispute amicably and without further litigation, and have agreed to settle their differences on the terms and conditions set forth herein.

Terms of Settlement

In full and final settlement of the Dispute, the Parties hereby agree as follows:

3.1. Payment: Party {{paying_party}} shall pay to Party {{receiving_party}} the sum of {{settlement_amount}} ({{currency}}) by {{payment_deadline}}.

3.2. Deliverables: In consideration for the payment, Party {{delivering_party}} agrees to {{description_of_deliverables_or_actions}} by {{delivery_deadline}}.

3.3. Release: Upon receipt of the full settlement amount and completion of all agreed deliverables/actions, each Party hereby releases and forever discharges the other Party, its affiliates, agents, employees, and representatives from any and all claims, demands, damages, actions, or causes of action, known or unknown, arising out of or related to the Dispute.

Confidentiality

The Parties agree that the terms and conditions of this Agreement shall remain strictly confidential and shall not be disclosed to any third party, except as required by law or with the prior written consent of both Parties.

No Admission of Liability

This Agreement is entered into for the sole purpose of compromise and settlement of the Dispute and does not constitute an admission of liability or wrongdoing by any Party.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of {{applicable_jurisdiction_country}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{applicable_jurisdiction_city}}.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
