SUBCONTRACTOR'S FINAL RELEASE OF LIEN

FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which are hereby acknowledged, the undersigned, {{subcontractor_name}}, located at {{subcontractor_address}} (hereinafter “Subcontractor”), does hereby acknowledge that it has received final payment in the amount of {{final_payment_amount}} ({{currency}}), for all labour, materials, equipment, and services furnished in connection with the project located at {{project_address}} (hereinafter “Project”), pursuant to the Subcontract Agreement dated {{subcontract_agreement_date}} between {{general_contractor_name}} (hereinafter “General Contractor”) and the Subcontractor.

RELEASE OF LIEN

The Subcontractor, for itself, its successors, and assigns, does hereby waive, release, and relinquish any and all liens, claims, and rights to assert a lien, whether statutory, constitutional, or equitable, against the Project, the property upon which the Project is located, and the improvements thereon, on account of labour, materials, equipment, or services furnished by the Subcontractor to the Project, up to and including the date of this document.

AFFIDAVIT OF PAYMENT

The Subcontractor hereby certifies and affirms that all its labourers, material suppliers, and lower-tier subcontractors involved in the Project, who have supplied labour, materials, equipment, or services through the date of this Release, have been paid in full for all amounts due for such labour, materials, equipment, and services. The Subcontractor agrees to indemnify and hold harmless the General Contractor and the Owner of the Project from and against any and all claims, demands, liabilities, costs, expenses, and damages, including reasonable legal fees, arising from any such claims by its labourers, material suppliers, or lower-tier subcontractors.

REPRESENTATIONS AND WARRANTIES

The Subcontractor represents and warrants that it has the authority to execute this Release and that there are no outstanding agreements, assignments, or encumbrances that would prevent the effectiveness or enforceability of this Release.

This Release is executed voluntarily and without any duress or undue influence and is intended to be legally binding upon the Subcontractor.

GOVERNING LAW

This Release shall be governed by and construed in accordance with the laws of {{country}}.

EFFECTIVE DATE

This Release of Lien shall be effective as of the date of its execution by the Subcontractor.
