SUBLEASE AGREEMENT

This Sublease Agreement (the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{sublessor_name}} (the 'Sublessor'), residing at {{sublessor_address}}, and

{{sublessee_name}} (the 'Sublessee'), residing at {{sublessee_address}}.

RECITALS

A. The Sublessor is the tenant of the property located at {{property_address}} (the 'Premises') under a master lease agreement (the 'Master Lease') with {{landlord_name}} (the 'Landlord'), dated {{master_lease_date}}.

B. The Sublessor desires to sublease a portion [OR specify if whole property] of the Premises to the Sublessee, and the Sublessee desires to sublease the same from the Sublessor, in accordance with the terms and conditions set forth herein.

1. PREMISES

The Sublessor hereby subleases to the Sublessee, and the Sublessee hereby accepts from the Sublessor, that portion of the Premises described as {{description_of_subleased_area}} (the 'Subleased Premises').

2. TERM

The term of this Sublease shall commence on {{start_date}} and shall terminate on {{end_date}}, unless sooner terminated as provided herein.

3. RENT

The Sublessee shall pay to the Sublessor a monthly rent of {{rent_amount}} ({{currency}}) on or before the {{due_day}} day of each calendar month, in advance, without deduction or set-off. Payments shall be made to {{payment_method}}.

4. USE OF PREMISES

The Sublessee shall use the Subleased Premises solely for {{permitted_use}} and for no other purpose without the prior written consent of the Sublessor.

5. UTILITIES AND SERVICES

6. MASTER LEASE

This Sublease is subject to all terms and conditions of the Master Lease, a copy of which has been provided to and reviewed by the Sublessee. The Sublessee agrees to comply with and be bound by all obligations and prohibitions applicable to the Sublessor under the Master Lease, save for the payment of the original full rent to the Landlord. Any breach by the Sublessee of the terms of this Sublease which constitutes a breach of the Master Lease shall be considered a default hereunder.

7. REPAIRS AND MAINTENANCE

The Sublessee shall, at its own expense, keep and maintain the Subleased Premises in good and tenantable repair and condition, reasonable wear and tear excepted. The Sublessee shall promptly notify the Sublessor of any defects or damage to the Subleased Premises.

8. INDEMNIFICATION

The Sublessee shall indemnify and hold harmless the Sublessor from any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from the Sublessee's use of the Subleased Premises, or from any breach of this Agreement by the Sublessee.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{country_state_region}}.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
