Vehicle Service Agreement
This Vehicle Service Agreement ("Agreement") is made and entered into on this {{date}} day of {{month}}, {{year}}, by and between:
{{service_provider_name}}, a company duly registered under the laws of [African Country, e.g., South Africa], with its principal place of business at {{service_provider_address}} (hereinafter referred to as the "Service Provider");
AND
{{client_name}}, a company/individual duly registered under the laws of [African Country, e.g., Kenya], with its principal place of business/residential address at {{client_address}} (hereinafter referred to as the "Client").
Collectively referred to as the "Parties" and individually as a "Party."
1. Services Provided
1.1 The Service Provider agrees to provide vehicle maintenance and repair services to the Client for the vehicle(s) specified in Schedule A (hereinafter referred to as the "Vehicle(s)").
1.2 Services may include, but are not limited to, routine servicing, diagnostics, mechanical repairs, electrical repairs, bodywork, and detailing, as agreed upon by both Parties and detailed in individual service orders or work requests.
1.3 All services shall be performed in a professional manner, using skilled personnel and appropriate tools and equipment, in accordance with industry standards and manufacturer specifications where applicable.
2. Service Charges and Payment
2.1 The Client agrees to pay the Service Provider for all services rendered at the rates specified in the service order or as communicated by the Service Provider.
2.2 Payment terms shall be {{payment_terms}} (e.g., net 30 days, upon completion of service). An invoice will be issued by the Service Provider upon completion of services.
2.3 All prices quoted are in {{currency_symbol}} (e.g., ZAR, KES, NGN) and are exclusive of Value Added Tax (VAT) or any other applicable taxes, which will be charged at the prevailing rate.
2.4 In the event of late payment, the Service Provider reserves the right to charge interest at a rate of {{interest_rate}}% per annum, calculated daily from the due date until full payment is received.
3. Client Responsibilities
3.1 The Client shall provide the Service Provider with accurate and complete information regarding the Vehicle(s) and any known issues or service history.
3.2 The Client shall make the Vehicle(s) available for service at the agreed-upon time and location.
3.3 The Client shall ensure that the Vehicle(s) are free of any personal belongings or valuables before handing them over to the Service Provider.
4. Warranty
4.1 The Service Provider warrants that all services will be performed with reasonable care and skill. Any parts supplied by the Service Provider will be new and fit for their intended purpose for a period of {{warranty_period}} from the date of service, or as per the manufacturer's warranty, whichever is longer.
4.2 This warranty does not cover damage resulting from misuse, neglect, accidents, alterations, or repairs performed by third parties.
5. Limitation of Liability
5.1 The Service Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided, including but not limited to loss of use, loss of profits, or loss of data.
5.2 The total liability of the Service Provider under this Agreement shall not exceed the total amount paid by the Client for the specific services giving rise to the claim.
6. Governing Law and Jurisdiction
6.1 This Agreement shall be governed by and construed in accordance with the laws of [African Country, e.g., Ghana].
6.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [African Country, e.g., Ghana].
7. Force Majeure
7.1 Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
8. Entire Agreement
8.1 This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, negotiations, and discussions, whether oral or written.
8.2 Any modification or amendment to this Agreement must be in writing and signed by both Parties.
9. Signatures
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date first written above.
