CHARTER AGREEMENT

This Charter Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

AND

{{charterer_name}}, of {{charterer_address}} (hereinafter referred to as the "Charterer").

1. Vessel Description

The Owner hereby agrees to charter to the Charterer, and the Charterer hereby agrees to charter from the Owner, the following vessel (hereinafter referred to as the "Vessel"):

2. Charter Period

The charter period shall commence on {{start_date}} at {{start_time}} and shall terminate on {{end_date}} at {{end_time}} (hereinafter referred to as the "Charter Period"). The Vessel shall be delivered to the Charterer at {{delivery_location}} and redelivered by the Charterer to the Owner at {{redelivery_location}}.

3. Charter Fees

The Charterer shall pay to the Owner a charter fee of {{currency}} {{charter_fee}} for the Charter Period. This fee shall be payable as follows:

- {{currency}} {{deposit_amount}} as a deposit upon signing of this Agreement.

4. Use of Vessel

The Charterer agrees to use the Vessel for {{intended_use}} only, and in a lawful and proper manner. The Charterer shall not use the Vessel for any illegal, hazardous, or unauthorized activities. The Charterer shall operate the Vessel in accordance with all applicable maritime laws, regulations, and conventions.

5. Insurance

The Owner shall maintain marine insurance on the Vessel, including hull and machinery insurance, and protection and indemnity insurance, with a reputable insurer throughout the Charter Period. The Charterer shall be responsible for obtaining any additional insurance deemed necessary for their specific use of the Vessel.

6. Maintenance and Repairs

The Owner shall ensure the Vessel is seaworthy and in good working order at the commencement of the Charter Period. The Charterer shall be responsible for the daily maintenance and routine cleaning of the Vessel during the Charter Period. Any major repairs or maintenance required due to normal wear and tear shall be the responsibility of the Owner. Repairs necessitated by the Charterer's negligence or improper use shall be borne by the Charterer.

7. Indemnification

The Charterer shall indemnify and hold harmless the Owner from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or in connection with the Charterer's use of the Vessel, its crew, or its passengers during the Charter Period, except for those arising directly from the Owner's gross negligence or willful misconduct.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be settled by amicable negotiation. 9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
