Consignment Agreement
RECITALS
WHEREAS, the Consignor is the legal owner of certain goods described in Schedule A (the "Goods"), and wishes to consign the Goods to the Consignee for sale.
WHEREAS, the Consignee is engaged in the business of selling goods similar to the Goods and desires to accept the Goods on consignment for sale to its customers.
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:
1. CONSIGNMENT OF GOODS
1.1 The Consignor hereby consigns to the Consignee, and the Consignee hereby accepts from the Consignor, the Goods described in Schedule A, for sale on a consignment basis.
1.2 The Consignor shall deliver the Goods to the Consignee's premises located at {{consignee_address}}, or such other location as mutually agreed upon in writing.
2. TERM OF AGREEMENT
2.1 This Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, unless terminated earlier as provided herein (the "Term").
2.2 Either party may terminate this Agreement upon {{notice_period}} days' written notice to the other party.
3. PRICING AND SALE OF GOODS
3.1 The Consignor shall provide the Consignee with a recommended retail price for each item of the Goods. The Consignee may, in its sole discretion, sell the Goods at a price lower than the recommended retail price, provided such reduction does not exceed {{discount_percentage}}% without prior written consent from the Consignor.
3.2 The Consignee shall use its best efforts to sell the Goods promptly and efficiently.
3.3 All sales of the Goods shall be made in the name of the Consignee.
4. PAYMENT AND COMMISSION
4.1 Upon the sale of any Goods, the Consignee shall remit to the Consignor {{consignor_percentage}}% of the net sales price (after deducting any applicable taxes and agreed-upon marketing costs) within {{payment_days}} days of the sale.
4.2 The Consignee shall retain the remaining {{consignee_percentage}}% as its commission.
4.3 The Consignee shall provide the Consignor with a detailed sales report on a {{reporting_frequency}} basis, itemizing all Goods sold, sale prices, and commissions earned.
5. TITLE AND RISK OF LOSS
5.1 Title to the Goods shall remain with the Consignor until the Goods are sold to a third-party customer.
5.2 The Consignee shall be responsible for the safekeeping of the Goods while in its possession and shall bear the risk of loss or damage to the Goods, except for normal wear and tear.
6. RETURN OF UNSOLD GOODS
6.1 Upon termination of this Agreement or at any time during the Term upon the Consignor's written request, the Consignee shall return all unsold Goods to the Consignor within {{return_days}} days.
6.2 The cost of returning unsold Goods shall be borne by the {{party_responsible_for_return}}.
7. REPRESENTATIONS AND WARRANTIES
7.1 The Consignor represents and warrants that it has clear title to the Goods and has the right to consign them for sale.
7.2 The Consignee represents and warrants that it has the necessary licenses and permits to sell the Goods and will conduct its business in a professional manner.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
8.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.
