Contract for the Storage of Goods

This Contract for the Storage of Goods (hereinafter referred to as "the Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{storer_company_name}}, a company duly incorporated under the laws of [African Country], with its registered office located at {{storer_company_address}} (hereinafter referred to as "the Storer", which expression shall where the context so admits include its successors-in-title and assigns);

AND

{{storage_provider_company_name}}, a company duly incorporated under the laws of [African Country], with its registered office located at {{storage_provider_company_address}} (hereinafter referred to as "the Storage Provider", which expression shall where the context so admits include its successors-in-title and assigns).

1. Definitions

1.1. "Goods" shall mean the items specified in Schedule A to this Agreement, which the Storer delivers to the Storage Provider for storage.

1.2. "Storage Period" shall mean the period during which the Goods will be stored by the Storage Provider, as specified in Clause 3.

2. Agreement to Store

2.1. The Storage Provider hereby agrees to receive and store the Goods belonging to the Storer, and the Storer agrees to pay the Storage Provider for such storage services, in accordance with the terms and conditions of this Agreement.

3. Storage Period

3.1. The Storage Period shall commence on {{start_date}} and shall continue for a period of {{number_of_months}} months, expiring on {{end_date}}, unless otherwise terminated earlier in accordance with the provisions of this Agreement.

3.2. Either party may request an extension of the Storage Period by providing written notice to the other party at least {{notice_days}} days prior to the expiry date. Any extension shall be subject to mutual agreement and may require a revised storage fee.

4. Storage Fees and Payment

4.1. The Storer shall pay the Storage Provider a storage fee of {{currency}} {{amount}} ({{amount_in_words}}) per {{storage_interval}} (e.g., month/week).

4.2. Payment shall be made in advance on the {{payment_due_day}} day of each {{payment_interval}} (e.g., month/week), commencing from {{first_payment_date}}.

4.3. All payments shall be made via {{payment_method}} to the Storage Provider's nominated bank account: Account Name: {{account_name}}, Account Number: {{account_number}}, Bank: {{bank_name}}, Branch: {{bank_branch}}.

4.4. In the event of late payment, interest shall accrue at a rate of {{interest_rate}}% per annum, calculated daily from the due date until the date of actual payment.

5. Responsibilities of the Storage Provider

5.1. The Storage Provider shall exercise reasonable care in the storage of the Goods and shall take all necessary measures to protect the Goods from loss, damage, or theft.

5.2. The Storage Provider shall maintain appropriate insurance coverage for the Goods during the Storage Period, details of which are provided in Schedule B.

5.3. Access to the stored Goods shall be granted to the Storer or its authorized representatives during regular business hours upon prior written notice of at least {{access_notice_hours}} hours.

6. Responsibilities of the Storer

6.1. The Storer warrants that it has lawful ownership of the Goods and has the right to store them with the Storage Provider.

6.2. The Storer shall provide an accurate and comprehensive inventory of the Goods, as detailed in Schedule A, prior to their delivery to the Storage Provider.

6.3. The Storer shall promptly inform the Storage Provider of any changes to the nature or value of the Goods.

7. Delivery and Collection of Goods

7.1. The Storer shall be responsible for the delivery of the Goods to the Storage Provider's premises at {{storage_location}}.

7.2. Upon termination of this Agreement, the Storer shall collect the Goods from the Storage Provider's premises within {{collection_days}} days. Failure to collect within this period may result in additional charges or, after due notice, disposal of the Goods as per Clause 9.

8. Indemnity and Limitation of Liability

8.1. The Storer shall indemnify and hold harmless the Storage Provider against all claims, liabilities, damages, and expenses arising from any breach of the Storer's warranties or responsibilities under this Agreement.

8.2. The Storage Provider's liability for any loss or damage to the Goods shall be limited to {{currency}} {{liability_limit}} ({{liability_limit_in_words}}), unless otherwise agreed in writing.

8.3. The Storage Provider shall not be liable for any indirect, incidental, or consequential damages arising out of the storage services.

9. Termination

9.1. This Agreement may be terminated by either party giving not less than {{termination_notice_days}} days' written notice to the other party.

9.2. This Agreement may be terminated with immediate effect by either party if the other party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice to do so.

9.3. Upon termination, the Storer shall settle all outstanding fees and collect the Goods as per Clause 7.2.

10. Governing Law and Dispute Resolution

10.1. This Agreement shall be governed by and construed in accordance with the laws of [African Country].

10.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, or termination, shall be referred to and finally resolved by arbitration in [City, African Country] in accordance with the rules of the [Arbitration Association/Centre] then in force.

11. Force Majeure

11.1. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, fire, floods, epidemics, or pandemics.

12. Entire Agreement

12.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
