GUARANTY OF LEASE
THIS GUARANTY OF LEASE (hereinafter “Guaranty”) is made and entered into this {{day}} day of {{month}}, {{year}}, by and between:
Guarantor: {{guarantor_full_name}}, residing at {{guarantor_address}} (hereinafter referred to as “Guarantor”).
Landlord: {{landlord_full_name}}, with an address at {{landlord_address}} (hereinafter referred to as “Landlord”).
Tenant: {{tenant_full_name}}, with an address at {{tenant_address}} (hereinafter referred to as “Tenant”).
RECITALS
A. The Landlord and Tenant are concurrently entering into a Lease Agreement (hereinafter “Lease”) for the property located at {{property_address}} (hereinafter “Premises”), commencing on or about {{lease_start_date}}.
B. The Landlord is unwilling to enter into the Lease with the Tenant unless the Tenant’s obligations under the Lease are guaranteed by the Guarantor.
C. The Guarantor acknowledges that they have a direct interest in the Tenant’s performance of the Lease obligations.
1. GUARANTY
1.1. In consideration of the Landlord entering into the Lease with the Tenant, the Guarantor hereby unconditionally and irrevocably guarantees to the Landlord the full and punctual payment of all rent, additional rent, and all other sums and charges payable by the Tenant under the Lease, and the full and punctual performance and observance of all covenants, conditions, and agreements contained in the Lease to be performed and observed by the Tenant, for the entire term of the Lease, including any extensions or renewals thereof.
1.2. The Guarantor’s liability under this Guaranty is primary and not secondary, and the Landlord shall not be required to exhaust its remedies against the Tenant or the Premises before proceeding against the Guarantor.
2. DURATION OF GUARANTY
2.1. This Guaranty shall remain in full force and effect for the entire term of the Lease, including any renewals, extensions, or hold-over periods, and until all obligations of the Tenant under the Lease are fully satisfied.
2.2. No termination of the Lease by agreement, operation of law, or otherwise shall affect the liability of the Guarantor hereunder for any obligations accruing prior to such termination.
3. WAIVERS BY GUARANTOR
3.1. The Guarantor waives notice of acceptance of this Guaranty and notice of any default by the Tenant under the Lease.
3.2. The Guarantor further waives any right to require the Landlord to proceed against the Tenant or to pursue any other remedy in the Landlord’s power before proceeding against the Guarantor hereunder.
4. INDEMNITY
4.1. The Guarantor agrees to indemnify and hold harmless the Landlord from and against any and all losses, costs, damages, expenses, and liabilities (including reasonable legal fees) that the Landlord may incur by reason of the Tenant's failure to perform its obligations under the Lease or by reason of the enforcement of this Guaranty.
5. GOVERNING LAW AND JURISDICTION
5.1. This Guaranty shall be governed by and construed in accordance with the laws of {{country_name}}.
5.2. Any dispute arising out of or in connection with this Guaranty shall be subject to the exclusive jurisdiction of the courts of {{country_name}}.
6. ENTIRE AGREEMENT
6.1. This Guaranty constitutes the entire agreement between the Landlord and the Guarantor concerning the subject matter hereof and supersedes all prior agreements, understandings, and representations, whether oral or written.
6.2. No modification, amendment, or waiver of any provision of this Guaranty shall be effective unless in writing and signed by both the Landlord and the Guarantor.
7. SEVERABILITY
7.1. If any provision of this Guaranty is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
