INDUSTRIAL LEASE AGREEMENT
This Industrial Lease Agreement (hereinafter referred to as "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
**LESSOR:**
{{lessor_company_name}}, a company duly incorporated under the laws of {{country}}, with its registered address at {{lessor_company_address}} (hereinafter referred to as "Lessor").
**AND**
**LESSEE:**
{{lessee_company_name}}, a company duly incorporated under the laws of {{country}}, with its registered address at {{lessee_company_address}} (hereinafter referred to as "Lessee").
Collectively referred to as “the Parties” or individually as “Party.”
1. PREMISES
The Lessor hereby leases to the Lessee, and the Lessee hereby leases from the Lessor, the industrial property located at {{property_address}}, comprising approximately {{area_in_sqm}} square meters (hereinafter referred to as "the Premises"). The Premises are more fully described in Annexure A attached hereto.
2. LEASE TERM
The term of this Agreement shall commence on {{start_date}} and shall continue for a period of {{lease_term_years}} ({{lease_term_years_text}}) years, terminating on {{end_date}}, unless sooner terminated in accordance with the provisions of this Agreement.
3. RENT AND DEPOSIT
3.1. **Rent:** The Lessee shall pay to the Lessor a monthly rental amount of {{monthly_rent_currency}} {{monthly_rent_amount}} ({{monthly_rent_amount_text}}) excluding VAT, payable in advance on or before the {{due_day_of_month}} day of each month. Rent shall be paid into the Lessor's bank account: Account Name: {{lessor_bank_account_name}}, Bank: {{lessor_bank_name}}, Account Number: {{lessor_bank_account_number}}, Branch Code: {{lessor_bank_branch_code}}.
3.2. **Escalation:** The rental amount shall escalate annually by {{escalation_percentage}}% on each anniversary of the commencement date.
3.3. **Deposit:** The Lessee shall pay a security deposit of {{deposit_currency}} {{deposit_amount}} ({{deposit_amount_text}}) on the signing of this Agreement. This deposit will be held by the Lessor as security for the due performance by the Lessee of its obligations hereunder and will be refunded to the Lessee, less any deductions for damages or outstanding amounts, within {{days_for_deposit_refund}} days after the termination of this Agreement and vacant possession of the Premises.
4. USE OF PREMISES
The Premises shall be used solely for industrial purposes, including {{permitted_use_description}}, and for no other purpose without the prior written consent of the Lessor. The Lessee shall comply with all relevant zoning regulations, laws, and by-laws applicable to the use of the Premises.
5. MAINTENANCE AND REPAIRS
5.1. The Lessee shall be responsible for the day-to-day maintenance and upkeep of the interior of the Premises, including minor repairs, cleaning, and replacement of consumables.
5.2. The Lessor shall be responsible for structural repairs, maintenance of the common areas (if applicable), and repair of major defects not caused by the Lessee's negligence or misuse.
6. INSURANCE
The Lessee shall, at its own expense, maintain comprehensive insurance coverage for its contents and operations within the Premises, including public liability insurance with a minimum cover of {{insurance_cover_currency}} {{insurance_cover_amount}}. The Lessor shall maintain insurance on the building structure.
7. UTILITIES
The Lessee shall be responsible for the payment of all utilities consumed on the Premises, including but not limited to electricity, water, and refuse removal. Meter readings shall be taken on the commencement date and the termination date.
8. BREACH AND TERMINATION
8.1. Should either Party commit a breach of any of the terms and conditions of this Agreement, and fail to remedy such breach within {{notice_period_days}} ({{notice_period_days_text}}) days of receipt of written notice requiring it to do so, the innocent Party shall be entitled, without prejudice to any other rights it may have in law, to:
(a) claim specific performance of the terms of this Agreement; or
(b) cancel this Agreement and claim damages.

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
