LICENSE AGREEMENT SHORT FORM

This License Agreement (the "Agreement") is made and entered into as of {{date_of_agreement}} (the "Effective Date") by and between:

**LICENSOR:** {{licensor_company_name}}, a company duly organized and existing under the laws of {{licensor_country}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as "Licensor"); and

**LICENSEE:** {{licensee_company_name}}, a company duly organized and existing under the laws of {{licensee_country}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as "Licensee").

1. GRANT OF LICENSE

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the intellectual property described in Exhibit A (the "Licensed IP") solely for the purpose of {{purpose_of_license}}.

2. TERRITORY AND TERM

This license is granted for the territory of {{territory}} and shall commence on the Effective Date and continue for a period of {{term_in_years}} years, unless terminated earlier in accordance with this Agreement.

3. LICENSE FEES

4. WARRANTIES

Licensor warrants that it has the full right and authority to grant the license contemplated herein. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE LICENSED IP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

5. LIMITATION OF LIABILITY

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR USE, INCURRED BY LICENSEE OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM ACCESS TO, OR USE OF, THE LICENSED IP.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

7. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
