MUSIC LICENSE AGREEMENT
This Music License Agreement ("Agreement") is made and entered into as of {{date_of_agreement}} ("Effective Date") by and between:

1. DEFINITIONS
1.1. "Musical Work" refers to the composition(s) and sound recording(s) specified in Schedule A attached hereto.
1.2. "Licensed Use" refers to the specific manner in which the Licensee is permitted to use the Musical Work, as detailed in Section 3.
1.3. "Term" refers to the duration of this Agreement, as specified in Section 4.
2. GRANT OF LICENSE
2.1. The Licensor hereby grants to the Licensee a non-exclusive, non-transferable license to use the Musical Work solely in connection with the Licensed Use, subject to the terms and conditions of this Agreement.
2.2. This license does not grant the Licensee ownership of the Musical Work or any intellectual property rights therein, other than the specific rights granted herein.
3. SCOPE OF LICENSED USE
3.1. The Licensee is granted the right to use the Musical Work for the following purposes:

4. TERM AND TERMINATION

4.2. Either party may terminate this Agreement upon {{notice_period}} days' written notice to the other party in the event of a material breach of any provision of this Agreement, provided that such breach is not cured within the notice period.
5. LICENSE FEES AND PAYMENT
5.1. In consideration for the license granted herein, the Licensee shall pay the Licensor a license fee of {{currency}} {{amount}} ({{amount_words}}) payable as follows: {{payment_schedule}} (e.g., in full upon execution, 50% upfront and 50% upon project completion).

6. REPRESENTATIONS AND WARRANTIES
6.1. The Licensor represents and warrants that it has the full right, power, and authority to enter into this Agreement and to grant the rights herein granted, and that the Musical Work does not infringe upon the rights of any third party.
6.2. The Licensee represents and warrants that it will use the Musical Work strictly in accordance with the terms of this Agreement and will not use it in any manner that is unlawful, defamatory, or infringes upon the rights of others.
7. INDEMNIFICATION
7.1. Each party shall indemnify, defend, and hold harmless the other party from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of its representations, warranties, or obligations under this Agreement.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
8.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of {{arbitration_body}} (e.g., the Arbitration Foundation of Southern Africa) in {{arbitration_city}}.
9. ENTIRE AGREEMENT
9.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
