Purchasing Agents Agreement

This Purchasing Agents Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a company duly incorporated under the laws of [Relevant African Country], with its principal place of business located at {{company_address}} (hereinafter referred to as the “Company”), and

{{agent_name}}, an individual/entity residing at/with its registered office at {{agent_address}}, holding National ID/Registration Number {{agent_id_number}} (hereinafter referred to as the “Agent”).

1. Appointment of Agent

The Company hereby appoints the Agent as its non-exclusive/exclusive purchasing agent for the purpose of sourcing and procuring goods/services as per the specifications and requirements provided by the Company from time to time. The Agent accepts such appointment and agrees to diligently perform the duties and responsibilities set forth in this Agreement.

2. Scope of Services

The Agent shall, among other things, perform the following services:

a. Identify potential suppliers and vendors for {{type_of_goods_or_services}}.

b. Obtain quotations, negotiate prices, terms, and conditions with suppliers.

c. Conduct due diligence on potential suppliers to ensure quality and reliability.

d. Prepare and submit purchase orders for approval by the Company.

e. Monitor delivery schedules and ensure timely receipt of goods/services.

f. Assist in resolving any disputes or issues with suppliers.

g. Provide regular reports on purchasing activities, market trends, and cost savings to the Company.

3. Remuneration and Expenses

In consideration for the services rendered by the Agent under this Agreement, the Company shall pay the Agent a commission of {{commission_percentage}}% on the total value of all goods/services purchased through the Agent, or a fixed fee of {{fixed_fee_amount}} {{currency}} per month/project. 4. Term and Termination

5. Confidentiality

The Agent shall not disclose any such confidential information to any third party without the prior written consent of the Company.

6. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [Relevant African Country]. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through amicable negotiation between the Parties.

Should negotiations fail, the dispute shall be referred to arbitration in [City, Country] in accordance with the rules of the [Relevant Arbitration Body, e.g., African Arbitration Association] then in force. The decision of the arbitrator(s) shall be final and binding on both Parties.
