STANDSTILL AGREEMENT
This STANDSTILL AGREEMENT (the “Agreement”) is made and entered into on this {{date_of_agreement}}
BETWEEN:
{{party_a_company_name}}, a company duly incorporated and registered under the laws of {{jurisdiction_a}}, with its principal place of business at {{party_a_address}} (hereinafter referred to as “Party A”);
AND
{{party_b_company_name}}, a company duly incorporated and registered under the laws of {{jurisdiction_b}}, with its principal place of business at {{party_b_address}} (hereinafter referred to as “Party B”).
(Each a “Party” and collectively the “Parties”)
RECITALS
WHEREAS, Party A and Party B are parties to a certain {{original_agreement_type}} agreement dated {{original_agreement_date}} (the “Original Agreement”) concerning {{brief_description_of_original_agreement}}.
WHEREAS, certain events have occurred or are anticipated which require the Parties to temporarily suspend their respective rights and obligations under the Original Agreement to facilitate negotiations for a potential {{new_arrangement_type}} agreement or to resolve existing disputes.
WHEREAS, the Parties desire to enter into this Agreement to establish a standstill period during which no Party shall exercise any rights or remedies arising from or relating to the Original Agreement.
1. STANDSTILL PERIOD
1.1 This Agreement shall commence on the Effective Date ({{effective_date}}) and shall continue in full force and effect until {{end_date_of_standstill}} (the “Standstill Period”), unless terminated earlier in accordance with the provisions of this Agreement.
1.2 During the Standstill Period, neither Party shall, directly or indirectly, exercise any rights, remedies, or powers it may have against the other Party arising out of or in connection with the Original Agreement, including but not limited to, instituting legal proceedings, issuing demands for payment, or enforcing any security interests.
2. PURPOSE OF STANDSTILL
The Parties agree that the purpose of this Standstill Period is to allow for good faith negotiations to reach a mutually acceptable agreement regarding {{specific_purpose_of_standstill, e.g., the restructuring of debt, resolution of a dispute, etc.}}.
3. GOOD FAITH NEGOTIATIONS
During the Standstill Period, the Parties commit to engaging in good faith negotiations to resolve their differences and explore options for a new agreement or arrangement. All discussions and information exchanged during these negotiations shall be treated as confidential, subject to Clause 5 below.
4. REPRESENTATIONS AND WARRANTIES
Each Party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder.
5. CONFIDENTIALITY
All information exchanged between the Parties during the Standstill Period, whether written or oral, concerning the negotiations or the business of the Parties, shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the disclosing Party, except as required by law.
6. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}. The Parties irrevocably submit to the exclusive jurisdiction of the courts of {{court_jurisdiction}} for the resolution of any disputes arising under or in connection with this Agreement.
7. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the Standstill Period.
8. COUNTERPARTS
This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
