REFERRAL AGREEMENT

This Referral Agreement (the “Agreement”) is made and entered into on this {{date}} day of {{month}}, {{year}}, (the “Effective Date”) by and between:

**{{referrer_company_name}}** (Registration Number: {{referrer_registration_number}}), a company duly incorporated and registered under the laws of {{referrer_jurisdiction}}, with its principal place of business at {{referrer_address}} (hereinafter referred to as the “Referrer”); and

**{{referred_company_name}}** (Registration Number: {{referred_registration_number}}), a company duly incorporated and registered under the laws of {{referred_jurisdiction}}, with its principal place of business at {{referred_address}} (hereinafter referred to as the “Recipient”).

The Referrer and the Recipient are hereinafter collectively referred to as the “Parties” and individually as a “Party”.

1. RECITALS

1.1 The Referrer is engaged in the business of {{referrer_business_description}}.

1.2 The Recipient is engaged in the business of {{recipient_business_description}}.

1.3 The Referrer wishes to refer potential clients/customers to the Recipient, and the Recipient wishes to accept such referrals in accordance with the terms of this Agreement.

2. REFERRAL OBLIGATIONS

2.1 The Referrer shall use reasonable efforts to identify and refer potential clients or customers (hereinafter referred to as “Referred Clients”) to the Recipient.

2.2 The Referrer shall provide the Recipient with the contact information and relevant details of the Referred Clients, including but not limited to, {{referrer_information_fields}}.

2.3 The Recipient shall, upon receipt of a referral, promptly contact the Referred Client and diligently pursue the opportunity to provide its services/products.

2.4 The Recipient shall keep the Referrer informed of the status of each referral, including whether a Referred Client has entered into an agreement with the Recipient.

3. REFERRAL FEES AND PAYMENT

3.1 For each successful referral that results in a definitive agreement between the Referred Client and the Recipient, the Recipient shall pay the Referrer a referral fee of {{referral_fee_percentage}}% of the net revenue generated from the Referred Client, or a fixed fee of {{fixed_referral_fee_amount}} ({{currency}}).

3.2 Net revenue shall be defined as {{net_revenue_definition}}.

3.3 Referral fees shall be paid by the Recipient to the Referrer within {{payment_days}} days of the Recipient receiving payment from the Referred Client.

3.4 The Recipient shall provide the Referrer with a detailed statement of account for each Referred Client, indicating the revenue generated and the corresponding referral fee due.

3.5 All payments shall be made by {{payment_method}} to the Referrer's nominated bank account: {{bank_name}}, Account Number: {{account_number}}, Branch Code: {{branch_code}}.

4. CONFIDENTIALITY

4.1 Both Parties agree to keep confidential all non-public information received from the other Party during the course of this Agreement, including but not limited to business strategies, client lists, and financial information.

4.2 This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

5. TERM AND TERMINATION

5.1 This Agreement shall commence on the Effective Date and continue for a period of {{agreement_term}} year(s), unless terminated earlier in accordance with the provisions herein.

5.2 Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

5.3 This Agreement may be terminated immediately by either Party in the event of a material breach by the other Party, which breach is not remedied within {{cure_period}} days of written notice.

6. INDEMNIFICATION

6.1 Each Party agrees to indemnify, defend, and hold harmless the other Party from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with its performance of this Agreement, except for any claims, liabilities, damages, losses, and expenses caused by the gross negligence or willful misconduct of the indemnified Party.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

7.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the Parties.

7.3 If the dispute cannot be resolved amicably, it shall be referred to arbitration in {{arbitration_city}}, {{arbitration_country}}, in accordance with the rules of the {{arbitration_institution}}.

8. ENTIRE AGREEMENT

8.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.

8.2 No amendment or modification of this Agreement shall be valid unless in writing and signed by authorized representatives of both Parties.
