AGENCY AGREEMENT: CORPORATE DUTIES

This Agency Agreement (hereinafter referred to as "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{Company_Legal_Name}}, a company duly incorporated and registered under the laws of {{Country}}, with its registered office located at {{Company_Address}} (hereinafter referred to as "Principal");

AND

{{Agency_Legal_Name}}, a company duly incorporated and registered under the laws of {{Country}}, with its registered office located at {{Agency_Address}} (hereinafter referred to as "Agent").

1. Appointment of Agent

The Principal hereby appoints the Agent, and the Agent hereby accepts such appointment, to act as its exclusive/non-exclusive agent for the purpose of {{purpose_of_agency}} within the territory of {{territory}} (hereinafter referred to as "Territory").

2. Scope of Corporate Duties

The Agent shall diligently and faithfully perform the following corporate duties on behalf of the Principal:

a) Represent the Principal in all {{scope_of_representation}} matters within the Territory, ensuring compliance with all applicable local laws and regulations.

b) Promote the Principal's {{products/services}} and develop new business opportunities within the Territory.

c) Provide regular reports to the Principal on market conditions, competitor activities, and sales performance.

d) Act as a liaison between the Principal and {{relevant_stakeholders}} in the Territory.

e) Handle inquiries and resolve customer issues related to the Principal's {{products/services}} in a professional and timely manner.

f) Maintain accurate records of all transactions and communications undertaken on behalf of the Principal.

g) Safeguard the Principal's confidential information and intellectual property.

3. Term of Agreement

This Agreement shall commence on {{start_date}} and shall continue for a period of {{term_length}} unless terminated earlier in accordance with the provisions of this Agreement.

4. Remuneration

5. Confidentiality

6. Governing Law and Dispute Resolution
