ENTERTAINMENT AGREEMENT
This Entertainment Agreement ('Agreement') is made and entered into as of {{date_of_agreement}}
BETWEEN:
{{company_name}}, a company duly incorporated under the laws of {{jurisdiction}}, with its principal place of business at {{company_address}} (hereinafter referred to as the 'Company').
AND
{{entertainer_name}}, an individual/entity with identification number {{entertainer_id_number}}, residing/operating at {{entertainer_address}} (hereinafter referred to as the 'Entertainer').
1. ENGAGEMENT
The Company hereby engages the Entertainer, and the Entertainer hereby accepts such engagement, to provide entertainment services as described in Schedule A, attached hereto and incorporated by reference (the 'Services').
2. TERM OF ENGAGEMENT
The term of this Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, or until the completion of the Services, whichever occurs later, unless sooner terminated in accordance with the provisions of this Agreement.
3. COMPENSATION
In consideration for the Services rendered, the Company shall pay the Entertainer a total fee of {{total_fee}} ({{currency}}).
Payment shall be made as follows:
a) {{upfront_payment_percentage}}% ({{upfront_payment_amount}} {{currency}}) upon signing of this Agreement.
b) The remaining {{balance_payment_percentage}}% ({{balance_payment_amount}} {{currency}}) upon completion of the Services.
4. RESPONSIBILITIES OF THE ENTERTAINER
The Entertainer shall:
a) Perform the Services in a professional manner and to the best of their ability.
b) Arrive at the venue at least {{arrival_time_before_event}} prior to the scheduled start time.
c) Provide all necessary equipment as specified in Schedule B, attached hereto.
d) Comply with all venue rules and regulations and all applicable laws.
5. RESPONSIBILITIES OF THE COMPANY
The Company shall:
a) Provide a suitable venue for the performance.
b) Ensure all necessary permits and licenses for the event are obtained.
c) Provide a safe and secure environment for the Entertainer and their equipment.
d) Provide technical support as specified in Schedule C, attached hereto.
6. CANCELLATION
If the Company cancels this Agreement within {{cancellation_notice_days}} days of the scheduled performance, the Company shall pay the Entertainer {{cancellation_fee_percentage}}% of the total compensation.
If the Entertainer cancels this Agreement within {{entertainer_cancellation_notice_days}} days of the scheduled performance, the Entertainer shall forfeit any advance payments made.
7. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, fires, floods, earthquakes, or strikes.
8. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{dispute_resolution_jurisdiction}}.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
