EXCLUSIVE MANAGEMENT AGREEMENT
This Exclusive Management Agreement (hereinafter referred to as 'the Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}.
BETWEEN:
{{company_name}}, a company duly incorporated in terms of the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as 'the Company');
AND
{{manager_name}}, an adult individual with identity number {{manager_id_number}}, residing at {{manager_address}} (hereinafter referred to as 'the Manager').
Collectively referred to as 'the Parties'.
1. APPOINTMENT AND SCOPE OF ENGAGEMENT
1.1. The Company hereby appoints the Manager, and the Manager hereby accepts such appointment, as its exclusive manager for the {{department/division}} department/division within the Company.
1.2. The Manager shall be responsible for {{key_responsibilities_summary}}, as further detailed in Schedule A.
1.3. This Agreement grants the Manager exclusive authority to manage the aforementioned department/division and to carry out the responsibilities assigned, subject to the overall strategic direction and policies of the Company.
2. TERM OF AGREEMENT
2.1. This Agreement shall commence on {{start_date}} and shall continue for an initial period of {{initial_term_months}} months/years, unless terminated earlier in accordance with the provisions of this Agreement.
2.2. Upon expiration of the initial term, this Agreement may be renewed by mutual written agreement of both Parties.
3. REMUNERATION AND BENEFITS
3.1. In consideration for the services rendered, the Company shall pay the Manager a monthly salary of {{salary_amount}} ({{currency}}) payable on the {{payment_day}} day of each month.
3.2. The Manager shall be entitled to performance-based bonuses as per the Company's bonus policy, details of which are outlined in Schedule B.

4. DUTIES AND OBLIGATIONS OF THE MANAGER
4.1. The Manager shall diligently and exclusively devote his/her time and efforts to the business and affairs of the Company in managing the {{department/division}} department/division.
4.2. The Manager shall adhere to all Company policies, procedures, and ethical standards.
4.3. The Manager shall report to {{reporting_manager_title}} on operational performance, strategic initiatives, and any significant challenges or opportunities.
5. CONFIDENTIALITY
5.1. The Manager acknowledges that during the course of employment, he/she will have access to confidential and proprietary information belonging to the Company.
5.2. The Manager undertakes to keep all such information strictly confidential and not to disclose it to any third party without the prior written consent of the Company, both during and after the termination of this Agreement.
6. TERMINATION
6.1. This Agreement may be terminated by either Party by giving {{notice_period_months}} months' written notice.
6.2. The Company may terminate this Agreement immediately for cause, including but not limited to gross misconduct, breach of confidentiality, or failure to perform duties as per this Agreement.
6.3. Upon termination, the Manager shall immediately return all Company property and confidential information.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
7.2. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_body}}.
8. ENTIRE AGREEMENT
8.1. This Agreement constitutes the entire agreement between the Parties pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
