INCENTIVE AGREEMENT
This Incentive Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{date_of_agreement}} day of {{month_of_agreement}}, {{year_of_agreement}}, by and between:
{{company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business located at {{company_address}} (hereinafter referred to as the “Company”);
AND
{{employee_name}}, an adult individual residing at {{employee_address}}, holding ID Number {{employee_id_number}} (hereinafter referred to as the “Employee”).
The Company and the Employee are hereinafter collectively referred to as the “Parties” and individually as a “Party”.
1. PURPOSE OF AGREEMENT
This Agreement sets forth the terms and conditions under which the Employee may be eligible to receive incentive compensation for achieving pre-defined performance targets and objectives.
2. INCENTIVE PERIOD
The incentive period shall commence on {{start_date_incentive_period}} and conclude on {{end_date_incentive_period}} (hereinafter referred to as the “Incentive Period”).
3. INCENTIVE CRITERIA AND TARGETS
The Employee’s eligibility for incentive compensation is contingent upon the achievement of the following specific, measurable, achievable, relevant, and time-bound (SMART) targets:

4. INCENTIVE PAYOUT
Upon successful verification of the achievement of the agreed targets at the end of the Incentive Period, the Company shall pay the Employee the corresponding incentive compensation.
The incentive payout will be made within {{number_of_days}} days following the end of the Incentive Period and will be subject to applicable statutory deductions.

5. ELIGIBILITY AND CONDITIONS
The Employee must be actively employed by the Company on the date of payout to be eligible for the incentive compensation.
In the event of termination of employment, for any reason, prior to the payout date, all entitlement to incentive compensation under this Agreement shall be forfeited.
The Company reserves the right to modify or revoke this Agreement at any time, with reasonable notice to the Employee, should business circumstances necessitate such changes. However, any existing incentives earned prior to such modification or revocation shall be honoured.
6. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{country_of_jurisdiction}}.
Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{country_of_jurisdiction}}.
7. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties.
8. AMENDMENTS
No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.
