Independent Contractor Agreement
This Independent Contractor Agreement (the “Agreement”) is made and entered into as of this {{date_of_agreement}} by and between:
{{company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business located at {{company_address}} (hereinafter referred to as the “Client”);
AND
{{contractor_name}}, an individual residing at {{contractor_address}} / a company duly incorporated under the laws of {{contractor_country_of_incorporation}}, with its principal place of business located at {{contractor_address}} (hereinafter referred to as the “Contractor”).
WHEREAS, the Client desires to engage the Contractor to provide certain services; and WHEREAS, the Contractor is willing to provide such services to the Client on the terms and conditions hereinafter set forth.
NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:
1. Services to be Performed
The Client hereby engages the Contractor to perform the services as generally described in Exhibit A attached hereto and incorporated herein by reference (the “Services”), and as may be further detailed in any Statement of Work (SOW) mutually agreed upon by both parties. The Contractor agrees to perform the Services in a professional and workmanlike manner, in accordance with industry standards and best practices.
2. Term of Agreement
This Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, unless terminated earlier in accordance with the provisions of Section 7 of this Agreement. Any extension of this Agreement must be in writing and signed by both parties.
3. Compensation
In consideration for the satisfactory performance of the Services, the Client shall pay the Contractor a fee of {{fee_amount}} {{currency}} per {{payment_unit}} (e.g., hour, day, project). Payments shall be made {{payment_frequency}} within {{payment_terms_days}} days of receipt of a valid invoice from the Contractor. The Contractor shall be solely responsible for all taxes, including income tax, value-added tax (VAT) or similar taxes, social security contributions, and any other withholdings or deductions required by law in connection with the compensation received under this Agreement.
4. Independent Contractor Status
The Contractor is an independent contractor and not an employee, partner, agent, or joint venture of the Client. The Contractor shall have no authority to bind the Client to any obligations. The Contractor shall be solely responsible for all operating costs and expenses and for providing all equipment, tools, and materials necessary to perform the Services, unless otherwise agreed in writing. The Contractor acknowledges and agrees that they are not entitled to any employee benefits, including but not limited to, health insurance, paid time off, retirement benefits, or worker's compensation, from the Client.
5. Confidentiality
The Contractor agrees to keep confidential all non-public information obtained during the course of performing the Services, including but not limited to, business plans, customer lists, financial information, and trade secrets (

). The Contractor shall not disclose or use any Confidential Information for any purpose other than for the performance of the Services for the Client. This obligation of confidentiality shall survive the termination of this Agreement.
6. Intellectual Property
All intellectual property, including but not limited to, copyrights, patents, trademarks, and trade secrets, developed by the Contractor in the course of performing the Services (
Work Product
) shall be the sole and exclusive property of the Client. The Contractor hereby assigns to the Client all rights, title, and interest in and to the Work Product. The Contractor agrees to execute any further documents reasonably necessary to perfect transfer of such ownership to the Client.
7. Termination
This Agreement may be terminated by either party upon {{notice_period_days}} days written notice to the other party. The Client may terminate this Agreement immediately for cause if the Contractor breaches any material term of this Agreement. Upon termination, the Contractor shall be entitled to compensation for Services performed up to the date of termination. Sections 5, 6, 8, 9, 10, and 11 shall survive the termination of this Agreement.
8. Indemnification
The Contractor agrees to indemnify and hold harmless the Client from and against any and all claims, losses, damages, liabilities, and expenses (including legal fees) arising out of or in connection with the Contractor's performance of the Services, including any breach of this Agreement or any negligent or wrongful acts or omissions of the Contractor.
9. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}} in {{arbitration_city}}, {{arbitration_country}}.
10. Entire Agreement
This Agreement, including any attached Exhibit A, constitutes the entire agreement between the Client and the Contractor with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
