AGREEMENT FOR PROMOTIONAL SERVICES

This Instagram Influencer Agreement ("Agreement") is made and entered into as of {{date_of_agreement}} ("Effective Date"), by and between {{company_name}}, with its principal place of business at {{company_address}} ("Company"), and {{influencer_name}}, residing at {{influencer_address}} ("Influencer").

1. Services

The Influencer agrees to provide promotional services for the Company on their Instagram platform (e.g., posts, stories, reels, live sessions) as further detailed in Schedule A (Campaign Brief). The Influencer shall create and publish content that promotes the Company's products/services, adhering to the brand guidelines and content requirements provided by the Company.

The Influencer shall use reasonable efforts to ensure the content is engaging and accurately represents the Company’s brand. All content must be disclosed as sponsored content in accordance with relevant advertising standards and platform guidelines.

2. Campaign Brief

The specific details of each campaign, including but not limited to the number of posts, stories, duration, content themes, key messages, hashtags, and deliverables, shall be outlined in a separate Campaign Brief (Schedule A) which will be incorporated into this Agreement by reference. The Influencer agrees to adhere to the timelines and content specifications set forth in each Campaign Brief.

3. Compensation

In consideration for the services rendered, the Company shall pay the Influencer a fee of {{payment_amount}} ({{currency}}) as per the payment schedule outlined in Schedule A. Payment shall be made via {{payment_method}} within {{payment_days}} days of successful completion of the deliverables and submission of the relevant invoice by the Influencer.

In addition to the monetary compensation, the Influencer may receive products/services from the Company as agreed upon in the Campaign Brief. These products/services are provided for the purpose of promoting the Company's brand and are not considered part of the monetary compensation unless explicitly stated otherwise.

4. Intellectual Property

The Influencer grants the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the content created under this Agreement for promotional and marketing purposes, across all media, for a period of {{license_term_months}} months from the date of publication. The Company acknowledges that the Influencer retains ownership of the original content.

The Influencer confirms that all content created will be original and will not infringe upon the intellectual property rights of any third party.

5. Term and Termination

This Agreement shall commence on the Effective Date and continue until the completion of the services outlined in the Campaign Brief, or until terminated earlier by either party. Either party may terminate this Agreement with {{notice_days}} days' written notice.

The Company may terminate this Agreement immediately if the Influencer breaches any material term of this Agreement, including but not limited to failing to adhere to brand guidelines, publishing inappropriate content, or violating disclosure requirements.

6. Confidentiality

The Influencer agrees to keep confidential all non-public information received from the Company during the term of this Agreement, including but not limited to campaign strategies, product information, and business plans. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_term_months}} months.

7. Indemnification

The Influencer agrees to indemnify and hold harmless the Company from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with any breach by the Influencer of its representations, warranties, or obligations under this Agreement.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{governing_city}}, {{governing_country}}.
