Invention Agreement

This Invention Agreement ("Agreement") is made and entered into as of {{date_of_agreement}}, by and between {{company_name}}, a company duly incorporated under the laws of {{jurisdiction}} with its principal place of business at {{company_address}} ("Company"), and {{employee_name}}, an individual residing at {{employee_address}} ("Employee").

Recitals

WHEREAS, Company is engaged in the business of {{company_business_description}} and possesses valuable proprietary information, inventions, trade secrets, and intellectual property;

WHEREAS, Employee is employed by Company in the capacity of {{employee_position}} and will have access to and be involved in the creation of such proprietary information, inventions, trade secrets, and intellectual property;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Disclosure of Inventions

Employee agrees to promptly disclose in writing to the Company all inventions, discoveries, designs, developments, methods, modifications, improvements, trade secrets, data, processes, algorithms, and works of authorship, whether patentable or not, (collectively, "Inventions") conceived, made, reduced to practice, or learned by Employee, either alone or jointly with others, during the period of employment, that relate to the Company's actual or anticipated business, research, or development, or which are made with the use of Company's equipment, supplies, facilities, or proprietary information, or which result from any work performed by Employee for the Company.

Assignment of Inventions

Employee hereby irrevocably assigns to Company or its designees, without further compensation, all right, title, and interest in and to all Inventions, and all intellectual property rights therein, including but not limited to patents, copyrights, trademarks, design rights, and trade secrets, throughout the world. Employee further agrees to execute all documents and perform all acts necessary to perfect and enforce such assignment.

Prior Inventions

Employee represents and warrants that all Inventions conceived or reduced to practice by Employee prior to the commencement of employment with the Company are listed in Schedule A attached hereto. Employee agrees that if, in the course of performing work for the Company, Employee incorporates into a Company product, process, or machine a Prior Invention without written permission of the Company, the Company is hereby granted a non-exclusive, royalty-free, irrevocable, perpetual, worldwide license to make, have made, modify, use, and sell such Prior Invention as part of or in connection with such product, process, or machine.

Confidentiality

Employee acknowledges that during the course of employment, Employee will have access to and become acquainted with confidential and proprietary information of the Company. Employee agrees to keep all such information strictly confidential and not to disclose it to any third party or use it for any purpose other than in the performance of duties for the Company, both during and after the termination of employment.

Return of Company Property

Upon termination of employment for any reason, Employee agrees to immediately return to the Company all property and proprietary information of the Company, including all copies thereof, in Employee's possession or control.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}, without regard to its conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the courts of {{arbitration_jurisdiction}} for the resolution of any disputes arising under or in connection with this Agreement.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations, whether oral or written.
