Parties
This Management Agreement ("Agreement") is made and entered into as of {{effective_date}} (the "Effective Date") by and between:
{{company_name}}, a company duly incorporated and existing under the laws of {{jurisdiction}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Company"); and
{{manager_name}}, an individual residing at {{manager_address}}, holding identity number {{manager_id_number}} (hereinafter referred to as "the Manager").
The Company and the Manager are hereinafter collectively referred to as the "Parties" and individually as a "Party."
Appointment and Duties
1.1. The Company hereby appoints the Manager, and the Manager hereby accepts such appointment, as the {{manager_position}} of the Company, effective from the Effective Date.
1.2. The Manager shall report directly to {{reporting_manager_name}} (the "Reporting Manager") and shall perform such duties and responsibilities as are customary for the position of {{manager_position}} and as may be assigned by the Company from time to time. A detailed job description is attached hereto as Schedule A.
1.3. The Manager shall devote their full business time and best efforts to the performance of their duties hereunder and shall not, without the prior written consent of the Company, engage in any other business or employment during the term of this Agreement.
Term of Employment
2.1. This Agreement shall commence on the Effective Date and shall continue for an initial period of {{initial_term_years}} years, unless terminated earlier in accordance with the provisions of this Agreement.
2.2. Upon the expiry of the initial term, this Agreement may be renewed for further periods upon mutual written agreement of the Parties.
Remuneration and Benefits
3.1. The Company shall pay the Manager a gross monthly salary of {{salary_amount}} ({{salary_currency}}) (the "Salary"), payable on or before the last working day of each calendar month.
3.2. The Manager shall be entitled to such benefits as are generally provided by the Company to its employees of similar seniority, including but not limited to {{benefits_description}}.
3.3. The Manager shall be reimbursed for all reasonable and approved expenses incurred in the performance of their duties, in accordance with the Company's expense policy.
Confidentiality
4.1. The Manager acknowledges that during the course of their employment, they will have access to confidential and proprietary information belonging to the Company. The Manager agrees to keep all such information strictly confidential and not to disclose it to any third party or use it for any purpose other than the benefit of the Company, both during and after the term of this Agreement.
Termination
5.1. This Agreement may be terminated by either Party by giving {{notice_period}} ([days/weeks/months]) written notice to the other Party.
5.2. Notwithstanding Clause 5.1, the Company may terminate this Agreement immediately for serious misconduct or breach of any material term of this Agreement by the Manager, without prejudice to any other remedies available to the Company.
5.3. Upon termination of this Agreement for any reason, the Manager shall immediately return to the Company all Company property, including documents, equipment, and confidential information.
Governing Law and Dispute Resolution
6.1. This Agreement shall be governed by and construed in accordance with the laws of {{jurisdiction}}.
6.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the {{arbitration_body}}.
Entire Agreement
7.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
7.2. No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.
