MANUFACTURING REPRESENTATIVE AGREEMENT
This Manufacturing Representative Agreement ("Agreement") is made effective as of {{effective_date}} ("Effective Date"), by and between {{company_name}}, a company duly organized and existing under the laws of {{country}}, with its principal place of business at {{company_address}} ("Principal"), and {{representative_name}}, a company/individual duly organized and existing under the laws of {{country}}/resident of {{country}}, with its/his/her principal place of business/address at {{representative_address}} ("Representative").
1. Appointment
Principal hereby appoints Representative as its non-exclusive/exclusive representative to solicit orders for the sale of its manufactured goods specified in Schedule A (''Products'') within the territory defined as {{territory}} (''Territory'').
2. Term
This Agreement shall commence on the Effective Date and continue for a period of {{term_duration}} (e.g., one year) (''Initial Term''), unless terminated earlier as provided herein. Thereafter, this Agreement shall automatically renew for successive {{renewal_term_duration}} periods unless either party provides written notice of non-renewal at least {{notice_period}} days prior to the end of the then-current term.
3. Duties of Representative
The Representative shall diligently and professionally promote and solicit orders for the Products within the Territory. Representative shall:
a. Maintain a thorough knowledge of the Products.
b. Conduct sales activities in compliance with all applicable laws and regulations.
c. Submit regular sales reports to Principal by {{reporting_frequency}}.
d. Not make any representations or warranties concerning the Products other than those authorized by Principal.
4. Duties of Principal
The Principal shall:
a. Provide Representative with necessary product information, samples, and sales materials.
b. Process all orders secured by Representative in a timely manner.
c. Pay commissions to Representative as set forth in Section 5.
d. Provide reasonable support and assistance to Representative in the performance of its duties.
5. Commission
Principal shall pay Representative a commission of {{commission_percentage}}% of the net sales price of all Products sold and delivered as a direct result of Representative’s efforts within the Territory. Commissions shall be calculated and paid by {{payment_frequency}} (e.g., monthly) on or before the {{payment_day}} day of the following month, based on invoices paid by customers.
6. Independent Contractor Status
The Representative is an independent contractor and not an employee, partner, or joint venturer of the Principal. Representative shall be solely responsible for all income tax, national insurance, and other statutory payments, and for providing its own equipment and facilities.
7. Confidentiality
Representative agrees to keep confidential all proprietary and confidential information of Principal, including but not limited to product designs, pricing, customer lists, and marketing strategies, both during the term of this Agreement and indefinitely thereafter.
8. Termination
This Agreement may be terminated by either party with {{notice_period_days}} days’ written notice. Either party may terminate this Agreement immediately upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within {{cure_period_days}} days after receiving written notice thereof.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{country}}, without regard to its conflict of laws principles.
