MEDIATION AND ARBITRATION AGREEMENT
This Mediation and Arbitration Agreement ("Agreement") is entered into on this {{day}} day of {{month}}, {{year}}, by and between {{company_name}} (hereinafter referred to as "the Company") and {{employee_name}}, residing at {{employee_address}} (hereinafter referred to as "the Employee").
1. Purpose and Scope
The purpose of this Agreement is to establish a fair, efficient, and cost-effective mechanism for resolving any disputes, claims, or controversies arising out of or relating to the Employee's employment with the Company, including, but not limited to, claims of discrimination, harassment, wrongful termination, breach of contract, or any other employment-related disputes. This Agreement applies to all such disputes that may arise between the Company and the Employee.
2. Mediation
2.1. Prior to initiating any arbitration proceedings, the parties agree to engage in good faith mediation to resolve the dispute. Either party may initiate mediation by providing written notice to the other party.
2.2. The parties shall jointly select a neutral, impartial mediator within {{number_of_days_for_mediator_selection}} days of the mediation notice. If the parties are unable to agree on a mediator, they shall request relevant mediation body to appoint one.
2.3. The costs of mediation, including the mediator's fees, shall be borne equally by the Company and the Employee, unless otherwise agreed upon in writing.
2.4. All statements made during the mediation process are confidential and shall not be admissible in any subsequent arbitration or judicial proceeding, unless otherwise required by law.
3. Arbitration
3.1. If mediation does not resolve the dispute within {{number_of_days_for_mediation}} days of the first mediation session, or if one party fails to participate in good faith mediation, either party may initiate binding arbitration.
3.2. Arbitration shall be conducted in accordance with the rules of the selected arbitration institute applicable in {{relevant_jurisdiction_city}}, {{relevant_jurisdiction_country}} and shall be administrated by the selected arbitration institute.
3.3. The arbitration shall be conducted by a single, neutral arbitrator jointly selected by the parties. If the parties are unable to agree on an arbitrator, the selected arbitration institute shall appoint one.
3.4. The arbitrator shall have the authority to award all remedies available in law, including monetary damages, injunctive relief, and attorneys' fees and costs, subject to any limitations set forth in this Agreement.
3.5. The arbitrator's award shall be final and binding upon the parties, and judgment on the award may be entered in any court having jurisdiction thereof.
3.6. The costs of arbitration, including the arbitrator's fees, shall be borne equally by the Company and the Employee, unless the arbitrator determines that one party has acted in bad faith or that a different allocation of costs is appropriate.
4. Exclusions from Mediation and Arbitration
This Agreement does not preclude either party from pursuing claims for workers' compensation benefits, unemployment insurance benefits, or any other claims that are expressly excluded from arbitration by law. Furthermore, nothing in this Agreement shall prevent the Company from seeking injunctive relief in a court of competent jurisdiction for matters involving intellectual property infringement, trade secret misappropriation, or breach of confidentiality agreements.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{relevant_jurisdiction_country}}.
6. Severability
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
