NON-SOLICITATION AGREEMENT
This Non-Solicitation Agreement (the 'Agreement') is made and entered into effective as of this {{effective_date}} (the 'Effective Date'), by and between {{company_name}} (the 'Company'), a company duly incorporated under the laws of {{jurisdiction}}, and {{employee_name}} (the 'Employee'), residing at {{employee_address}}.
RECITALS
WHEREAS, the Employee is employed by the Company in the position of {{employee_position}};
WHEREAS, in the course of such employment, the Employee will have access to confidential information, trade secrets, and valuable relationships related to the Company’s business, including but not limited to client lists, customer information, supplier lists, marketing strategies, and employee details;
WHEREAS, the Company desires to protect its legitimate business interests from unfair competition by the Employee after the termination of their employment; and
WHEREAS, the Employee acknowledges and agrees that the restrictions contained herein are reasonable and necessary for the protection of the Company’s legitimate business interests.
AGREEMENT
NOW, THEREFORE, in consideration of the Employee’s employment, the compensation and benefits paid to the Employee by the Company, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Non-Solicitation of Clients/Customers
During the term of the Employee’s employment with the Company and for a period of {{non_solicitation_period_months}} months immediately following the effective date of termination of the Employee’s employment with the Company for any reason whatsoever (the 'Restricted Period'), the Employee shall not, directly or indirectly, for themselves or on behalf of any other person or entity, solicit, divert, or appropriate, or attempt to solicit, divert, or appropriate, any client, customer, or prospective client/customer of the Company with whom the Employee had material contact or about whom the Employee acquired confidential information during their employment with the Company, for the purpose of providing services or products that are competitive with those offered by the Company.
2. Non-Solicitation of Employees
During the Restricted Period, the Employee shall not, directly or indirectly, for themselves or on behalf of any other person or entity, solicit, induce, or encourage any employee of the Company to leave their employment with the Company, or hire any such employee who was employed by the Company at any time during the last {{employee_solicitation_look_back_months}} months of the Employee’s employment with the Company, for the purpose of engaging in activities competitive with the Company.
3. Confidentiality
The Employee acknowledges and agrees that all information relating to the Company’s clients, customers, suppliers, financial data, and business strategies are confidential and proprietary to the Company. The Employee further agrees to maintain the confidentiality of all such information indefinitely and not to disclose or use such information other than for the benefit of the Company, both during and after the term of their employment.
4. Remedies
The Employee acknowledges that a breach of this Agreement would cause irreparable harm to the Company for which monetary damages would not be an adequate remedy. Accordingly, the Employee agrees that in the event of any actual or threatened breach of this Agreement, the Company shall be entitled to seek injunctive relief, without the necessity of proving actual damages or posting a bond, in addition to any other remedies available at law or in equity.
5. Severability
If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remainder of this Agreement shall remain in full force and effect.
6. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}} (or relevant Southern African country). The parties irrevocably consent to the exclusive jurisdiction of the courts located in {{governing_city}} for any action arising out of or relating to this Agreement.
7. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
