Online Promotion Agreement

This Online Promotion Agreement ("Agreement") is made and entered into on this {{date_of_agreement}} day of {{month_of_agreement}}, {{year_of_agreement}}.

BETWEEN:

{{company_name}}, a company duly registered in accordance with the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "The Company").

AND

{{promoter_name}}, with identity/company registration number {{promoter_id_number}}, residing/registered at {{promoter_address}} (hereinafter referred to as "The Promoter").

1. Engagement and Services

1.1. The Company hereby engages The Promoter to provide online promotional services for its {{product_service_name}} (hereinafter referred to as "The Product/Service") on various online platforms, including but not limited to {{list_of_platforms}}.

1.2. The Promoter agrees to promote The Product/Service in a manner consistent with the Company's brand guidelines and marketing objectives, which will be provided separately by The Company.

1.3. The specific promotional activities shall include but not be limited to: {{detailed_promotional_activities}}.

2. Term of Agreement

2.1. This Agreement shall commence on {{start_date}} and shall continue for a period of {{duration_of_agreement}} months/years, unless terminated earlier in accordance with the provisions of this Agreement.

3. Compensation

4. Intellectual Property

4.1. The Promoter acknowledges that all intellectual property rights, including copyrights, trademarks, and any other proprietary rights related to The Product/Service and The Company's brand, shall remain the sole property of The Company.

4.2. The Promoter agrees not to use The Company's intellectual property for any purpose other than the promotion of The Product/Service as outlined in this Agreement.

4.3. Any promotional materials created by The Promoter in connection with this Agreement, including but not limited to text, images, and videos, shall be the property of The Company upon full payment of the compensation.

5. Confidentiality

5.1. The Promoter agrees to keep confidential all non-public information, including business secrets, marketing strategies, and customer data, disclosed by The Company during the term of this Agreement.

5.2. This confidentiality obligation shall survive the termination of this Agreement.

6. Indemnification

6.1. The Promoter agrees to indemnify and hold harmless The Company from any claims, damages, liabilities, and expenses (including legal fees) arising from any breach of this Agreement by The Promoter or from any third-party claims resulting from The Promoter's promotional activities.

7. Termination

7.1. Either party may terminate this Agreement by providing {{notice_period}} days/weeks/months written notice to the other party.

7.2. The Company may terminate this Agreement immediately if The Promoter breaches any material term of this Agreement, including but not limited to misrepresenting The Product/Service or engaging in unethical promotional practices.

8. Governing Law and Dispute Resolution

9. Entire Agreement
