Parties
This Subcontract Agreement ("Agreement") is made effective as of {{date}} by and between:
{{contractor_company_name}}, a company duly incorporated under the laws of {{contractor_jurisdiction}}, with its principal place of business at {{contractor_address}} ("Contractor"),
AND
{{subcontractor_company_name}}, a company duly incorporated under the laws of {{subcontractor_jurisdiction}}, with its principal place of business at {{subcontractor_address}} ("Subcontractor").
Recitals
WHEREAS, the Contractor has entered into a primary agreement (the "Main Contract") with {{client_company_name}} (the "Client") for the provision of {{main_project_description}} ("Main Project");
WHEREAS, the Contractor desires to engage the Subcontractor to perform certain services as a portion of the Main Project, and the Subcontractor is willing and able to perform such services in accordance with the terms and conditions set forth herein.
Scope of Work
The Subcontractor shall perform the services ("Services") as detailed in Schedule A attached hereto and incorporated by reference. The Services shall be performed in a good and workmanlike manner, in accordance with industry standards, and in strict compliance with the specifications and requirements of the Main Contract to the extent applicable.
Payment Terms
In consideration for the satisfactory performance of the Services, the Contractor shall pay the Subcontractor a total sum of {{total_subcontract_amount}} ({{currency}}).
Payment shall be made in {{-monthly/milestone/other-}} installments as follows: {{payment_schedule_details}}.
All invoices shall be submitted to the Contractor at {{contractor_invoice_email}} and shall be paid within {{payment_due_days}} days of receipt, subject to verification of work completion and approval by the Contractor.
Term and Termination
This Agreement shall commence on {{start_date}} and shall continue until the completion of the Services, unless terminated earlier in accordance with the provisions herein.
Either party may terminate this Agreement for convenience by providing {{notice_period}} days written notice to the other party.
Either party may terminate this Agreement immediately upon written notice if the other party breaches any material term or condition of this Agreement and fails to cure such breach within {{cure_period}} days after receiving written notice of the breach.
Independent Contractor Status
The Subcontractor shall perform the Services as an independent contractor. Nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between the Contractor and the Subcontractor. The Subcontractor shall be solely responsible for all taxes, national insurance contributions, and other statutory payments related to its personnel.
Indemnification
The Subcontractor shall indemnify, defend, and hold harmless the Contractor from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with the Subcontractor's performance of the Services, including any breach of this Agreement, negligence, or willful misconduct.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through {{arbitration/mediation/litigation}} in {{dispute_resolution_location}}.
