Support Agreement

This Support Agreement (hereinafter referred to as "Agreement") is made and entered into as of {{effective_date}}, by and between:

{{company_name}}, a company duly incorporated and existing under the laws of {{jurisdiction}}, with its principal place of business located at {{company_address}} (hereinafter referred to as "Service Provider"),

AND

{{recipient_name}}, of {{recipient_address}} (hereinafter referred to as "Recipient").

1. Services Provided

The Service Provider agrees to provide the following support services to the Recipient:

- {{service_description_3}}

These services may include, but are not limited to, technical assistance, product support, and general consultation related to {{product_or_service_name}}. Specific details of support requests will be documented and tracked using {{ticketing_system_name}}.

2. Service Hours and Response Times

Standard service hours shall be {{start_time}} to {{end_time}}, {{days_of_week}}. Support requests received outside these hours will be addressed on the next business day.

The Service Provider commits to the following response times for support requests:

- Critical Issues: within {{critical_response_time}} business hours

- High Priority Issues: within {{high_priority_response_time}} business hours

- Medium Priority Issues: within {{medium_priority_response_time}} business hours

- Low Priority Issues: within {{low_priority_response_time}} business hours

These response times are targets and the Service Provider will use commercially reasonable efforts to meet them.

3. Fees and Payment

In consideration for the support services provided, the Recipient agrees to pay the Service Provider the following fees:

Payments shall be made by {{payment_method}} on a {{payment_frequency}} basis, due within {{payment_due_days}} days of the invoice date. Invoices will be issued on {{invoice_date_of_month}} of each month.

Any additional services requested by the Recipient and not covered in Section 1 will be quoted separately and require prior written approval.

4. Term and Termination

This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_term}}, unless terminated earlier in accordance with the provisions herein.

Either party may terminate this Agreement by providing {{notice_period}} days' written notice to the other party. In the event of a material breach of this Agreement, the non-breaching party may terminate this Agreement immediately upon written notice.

5. Confidentiality

Both parties agree to keep all confidential information, including but not limited to business strategies, customer lists, and proprietary technology, strictly confidential. Neither party shall disclose such information to any third party without the prior written consent of the other party.

6. Limitation of Liability

The Service Provider's liability under this Agreement shall be limited to the total fees paid by the Recipient for the services provided in the {{liability_period}} preceding the event giving rise to the claim. The Service Provider shall not be liable for any indirect, incidental, special, or consequential damages.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations. If negotiations fail, the parties agree to pursue mediation in {{mediation_location}}. If mediation is unsuccessful, disputes shall be submitted to arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_body}}.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
