TALENT MANAGEMENT AGREEMENT

This Talent Management Agreement (“Agreement”) is made and entered into effective as of {{effective_date}} (the “Effective Date”), by and between {{management_company_name}}, a company duly incorporated under the laws of {{jurisdiction_management_company_incorporation}}, with its principal place of business at {{management_company_address}} (hereinafter referred to as “Management Company”), and {{talent_full_name}}, an individual residing at {{talent_address}} (hereinafter referred to as “Talent”).

1. Appointment of Management Company

Talent hereby appoints Management Company as their exclusive personal manager, representative, and advisor in all matters relating to Talent’s professional career in the entertainment, media, and related industries. Management Company hereby accepts such appointment and agrees to use its best efforts to further Talent’s career.

This exclusive appointment shall cover all areas of Talent’s professional activities, including but not limited to, acting, music, endorsements, appearances, digital content creation, and other commercial ventures.

2. Term of Agreement

This Agreement shall commence on the Effective Date and shall continue for an initial term of {{initial_term_years}} ({{initial_term_years_text}}) years (the “Initial Term”).

Upon the expiry of the Initial Term, this Agreement shall automatically renew for additional terms of {{renewal_term_years}} ({{renewal_term_years_text}}) years each, unless either party provides written notice of non-renewal at least {{notice_period_days}} ({{notice_period_days_text}}) days prior to the end of the then-current term.

3. Duties of Management Company

Management Company shall advise and counsel Talent in all matters relating to Talent’s professional career; represent Talent in negotiations with third parties concerning employment, contracts, and endorsements; promote and publicise Talent’s talents; generally assist Talent in the development and advancement of Talent’s career. Management Company shall consult with Talent on all significant decisions affecting Talent’s career.

Specifically, Management Company agrees to:

a) Use reasonable commercial efforts to secure employment and engagement opportunities for Talent.

b) Advise Talent on career strategy, image, and branding.

c) Negotiate terms of contracts, endorsements, and other agreements on behalf of Talent.

d) Coordinate and manage Talent’s schedule, travel, and public appearances.

e) Handle administrative duties including invoicing and collection of fees earned by Talent, as agreed upon.

4. Duties of Talent

Talent agrees to diligently and conscientiously devote Talent’s time and best efforts to Talent’s career and to consult with Management Company on all material matters relating to Talent’s career. Talent shall promptly refer all offers of employment or engagements to Management Company and shall not negotiate or enter into any contracts without the prior consent of Management Company.

Specifically, Talent agrees to:

a) Collaborate openly and honestly with Management Company.

b) Promptly inform Management Company of any offers or inquiries related to professional engagements.

c) Fulfil all contractual obligations entered into with the assistance of Management Company.

d) Maintain a professional image and conduct themselves in a manner consistent with the promotion of their career.

e) Provide Management Company with accurate and up-to-date information regarding their contact details, availability, and professional aspirations.

5. Compensation

Talent agrees to pay Management Company a commission equal to {{commission_percentage}}% ({{commission_percentage_text}} percent) of all gross monies or other consideration earned by Talent from any sources whatsoever, directly or indirectly, related to Talent’s professional activities beginning from the Effective Date, whether during the term of this Agreement or thereafter, resulting from any agreement or negotiation commenced during the term hereof. This commission shall be paid to Management Company within {{payment_days}} days of Talent’s receipt of such monies.

Management Company shall also be reimbursed for any pre-approved, reasonable, and necessary out-of-pocket expenses incurred on behalf of Talent, provided that such expenses are supported by proper documentation.

6. Termination

Either party may terminate this Agreement for material breach upon {{notice_period_breach_days}} ({{notice_period_breach_days_text}}) days’ written notice to the other party, specifying the nature of the breach. If the breaching party fails to cure such breach within the notice period, the non-breaching party may terminate this Agreement.

In the event of termination, Management Company shall be entitled to commissions on all earnings derived from engagements negotiated or substantially arranged during the term of this Agreement, regardless of when such earnings are received.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

8. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral, between the parties.
